Legal Rights & Agreement Rules · Context

The Agreement is a contract with Apple covering its media and app services

These terms create a contract between you and Apple. The Agreement governs your use of Apple's services through which you can buy, get, license, rent or subscribe to content, apps and other in-app services, all of which it calls "Content". Content may be offered by Apple or by a third party. Examples of covered Services, where available, include the App Store, Subscriptions, Apple Arcade, Apple Books, Apple Fitness+, Apple Games, Game Center, Apple Music, Apple News, Apple One, Apple Podcasts, Apple Sports, Apple TV, iTunes and Shazam. "Apps" is defined broadly to include App Clips and any in-app purchases, extensions (such as keyboards), stickers and Subscriptions offered inside apps. Which Apple company is the "Apple" you contract with depends on your Home Country (Apple Inc. for users in the United States, including Puerto Rico, per Section T).

These terms and conditions create a contract between you and Apple (the “Agreement”).
This Agreement governs your use of Apple’s services (“Services”) through which you can buy, get, license, rent or subscribe to content, Apps (as defined below), and other in-app services (collectively, “Content”).
Content may be offered through the Services by Apple or a third party.
Examples of Services include, where available, App Store, Subscriptions (as defined below), Apple Arcade, Apple Books, Apple Fitness+, Apple Games, Game Center, Apple Music, Apple News, Apple One, Apple Podcasts, Apple Sports, Apple TV, iTunes, and Shazam.
The term “Apps” includes apps and App Clips for any Apple platform and/or operating system, including any in-app purchases, extensions (such as keyboards), stickers, and Subscriptions made available in such apps or App Clips.
Depending on your Home Country, “Apple” means:

Qualifications & exceptions

  • The service list is a set of examples available "where available", not an exhaustive or guaranteed list.
  • Content may come from Apple or a third party; separate sections say when a third party, not Apple, is the seller.

Account & Service Control · Context

Your Home Country is the country or territory where you created your account, and Services are offered for use there

The Services are available for your use in your country or territory of residence, which the Agreement calls your "Home Country". By creating an account for the Services in a particular country or territory, you specify it as your Home Country. The Home Country later decides which Apple entity you contract with, which terms apply to you, and which Content and Services you can use.

Supporting quotations

Our Services are available for your use in your country or territory of residence (“Home Country”).
By creating an account for use of the Services in a particular country or territory you are specifying it as your Home Country.

Qualifications & exceptions

  • Section J adds that Services available in your Home Country may not be available while traveling outside it.

Legal Rights & Agreement Rules · Restriction or exception

You need compatible hardware, software and Internet access, and these can affect performance

To use the Services you need compatible hardware, software and Internet access. The latest software version is recommended and sometimes required, and Internet access may involve fees. Apple says these factors may affect how well its Services perform.

Supporting quotations

To use our Services, you need compatible hardware, software (latest version recommended and sometimes required) and Internet access (fees may apply).
Our Services’ performance may be affected by these factors.

Qualifications & exceptions

  • The latest software is recommended and only sometimes required.
  • Internet access fees, if any, are charged by others; the Agreement elsewhere says Apple is not responsible for data charges.

Charges & Financial Obligations · Context

Every free or paid acquisition is a Transaction and a contract with Apple and/or the Content provider

Content you acquire on the Services, whether free or paid, is a "Transaction". Each Transaction is an electronic contract between you and Apple, and/or between you and the entity providing the Content. If you are a customer of Apple Distribution International Ltd. or Apple Services Pte. Ltd., that entity is the merchant of record for some Content from Apple Books, Apple Podcasts or the App Store, as shown on the product page or during acquisition; you acquire that Content from that entity, but it is licensed by the Content provider. For App Store apps, Apple acts as an agent for App Providers and is not a party to the sales contract or user agreement between you and the App Provider. A Service membership bought from a reseller, such as a wireless carrier, is different: the reseller is the merchant of record, the purchase is governed by the reseller's terms rather than this Agreement, and billing disputes go to the reseller.

Supporting quotations

You can acquire Content on our Services for free or for a charge, either of which is referred to as a “Transaction.”
Each Transaction is an electronic contract between you and Apple, and/or you and the entity providing the Content on our Services.
However, if you are a customer of Apple Distribution International Ltd. or Apple Services Pte. Ltd., then that entity is the merchant of record for some Content you acquire from Apple Books, Apple Podcasts, or App Store as displayed on the product page and/or during the acquisition process for the relevant Service.
In such case, you acquire the Content from Apple Distribution International Ltd. or Apple Services Pte. Ltd., as applicable, which is licensed by the Content provider (e.g., App Provider (as defined below), book publisher, etc.).
Apple acts as an agent for App Providers in operating the App Store and is not a party to the sales contract or user agreement between you and the App Provider.
If you purchase a Reseller Membership, your reseller is the merchant of record, which means that you acquire the Service license from that reseller, which will bill you for the cost of your Service membership, but the Service is licensed and provided by Apple.
Your purchase relationship with the reseller is governed by the reseller’s terms and conditions, not this Agreement, and any billing disputes related to a Reseller Membership must be directed to the reseller, not Apple.

Qualifications & exceptions

  • Which party you contract with depends on the Content, your Home Country's Apple entity and how you bought it; the product page or acquisition flow shows the merchant for the listed services.
  • Reseller Membership billing disputes go to the reseller, not Apple.

Security & Safeguards · User right or choice

You choose how often Apple asks for your password, and Touch ID or Face ID then authenticates every Transaction

When you make your first Transaction, Apple asks you to choose how often it should ask for your password for future Transactions. On applicable Apple hardware, if you enable Touch ID or Face ID for Transactions, Apple will ask you to authenticate all Transactions with your fingerprint or with facial recognition. You can change your password settings at any time through the support page Apple links.

Charges & Financial Obligations · Permission or license

Apple charges your selected payment method, including taxes, and may store and charge multiple payment methods

Apple will charge your selected payment method for paid Transactions, including any applicable taxes. If you have also added that payment method to Apple Wallet, Apple may charge it in Apple Wallet using Apple Pay. You can associate several payment methods with your Apple Account, and you agree that Apple may store and charge them for Transactions. Your primary payment method is the one shown at the top of your account settings payments page.

Supporting quotations

If you have also added it to your Apple Wallet, Apple may charge your selected payment method in Apple Wallet using Apple Pay.
You can associate multiple payment methods with your Apple Account, and you agree that Apple may store and charge those payment methods for Transactions.
Your primary payment method appears at the top of your account settings payments page.

Charges & Financial Obligations · Permission or license

If your primary payment method fails, Apple may charge your other methods in order; unpaid amounts stay owed

If your primary payment method cannot be charged for any reason, such as expiration or insufficient funds, you authorize Apple to try your other eligible payment methods in order from top to bottom as listed on your payments page. If Apple still cannot charge you, you remain responsible for the uncollected amounts, and Apple may try again or ask you for another payment method. Separately, as local law allows, Apple may automatically update your payment information if payment networks or your financial institutions provide it.

Supporting quotations

If your primary payment method cannot be charged for any reason (such as expiration or insufficient funds), you authorize Apple to attempt to charge your other eligible payment methods in order from top to bottom as they appear on your account settings payments page.
If we cannot charge you, you remain responsible for any uncollected amounts, and we may attempt to charge you again or request that you provide another payment method.
In accordance with local law, Apple may automatically update your payment information regarding your payment methods if provided such information by the payment networks or your financial institutions.

Qualifications & exceptions

  • Only other eligible payment methods are tried, in the order shown on your payments page.
  • Automatic payment-information updates are made in accordance with local law.

Charges & Financial Obligations · Procedure

Pre-ordered Content is charged when it is delivered, unless you cancel before it becomes available

If you pre-order Content, you are charged when the Content is delivered to you, not when you place the pre-order. You can avoid the charge by cancelling before the Content becomes available.

Supporting quotations

If you pre-order Content, you will be charged when the Content is delivered to you (unless you cancel prior to the Content’s availability).

Charges & Financial Obligations · Restriction or exception

All Transactions are final; for delivery problems Apple chooses between replacement and refund

All Transactions are final, and Content prices may change at any time. If technical problems prevent or unreasonably delay delivery of Content, your exclusive and sole remedy is either replacement of the Content or a refund of the price paid, and Apple decides which. Apple may from time to time suspend or cancel payment, or refuse a refund request, if it finds evidence of fraud, abuse, or unlawful or other manipulative behavior that entitles Apple to a corresponding counterclaim. For Subscriptions that commit you to a set number of billing periods, any such refund covers only access already paid for but not yet provided, and no refund is due for future monthly periods not yet charged.

Supporting quotations

All Transactions are final.
Content prices may change at any time.
If technical problems prevent or unreasonably delay delivery of Content, your exclusive and sole remedy is either replacement of the Content or refund of the price paid, as determined by Apple.
From time to time, Apple may suspend or cancel payment or refuse a refund request if we find evidence of fraud, abuse, or unlawful or other manipulative behavior that entitles Apple to a corresponding counterclaim.
For Subscriptions that require your commitment to a specified number of billing periods, any such refund will relate only to the period of access already paid for but not yet provided, and no refund is due in respect of any future monthly periods for which payment has not yet been collected.

Qualifications & exceptions

  • The replacement-or-refund remedy applies to technical problems that prevent or unreasonably delay delivery; it is the exclusive remedy for that case.
  • Refund refusals or payment cancellations are tied to evidence of fraud, abuse, or unlawful or manipulative behavior.
  • Commitment Subscriptions limit any refund to paid-but-unprovided access.

Not stated here

  • The source does not say which refund the commitment-Subscription sentence's "any such refund" refers back to; no other refund right appears in the supplied text.
  • Other rights that local consumer law may give are not described here.

Charges & Financial Obligations · Context

Store credit, gift card and billing details are in separate linked pages

Terms for store credit and gift cards or codes, and further details on how Transactions are billed, are in separate pages Apple links rather than in this Agreement.

Charges & Financial Obligations · Restriction or exception

Commitment Subscriptions: paid per period, no financing charges, refunds only for paid-but-unprovided access

Some Subscriptions require you to commit to a set number of billing periods. For those Subscriptions, any such refund relates only to access you have already paid for but not yet received, and no refund is due for future monthly periods that have not yet been charged. Section I adds that these commitment Subscriptions include no financing charges or credit costs, that each payment applies only to the current billing period, and that you may not pay charges before they are due. The refund sentence follows Section B's rule that, when technical problems prevent or unreasonably delay delivery, Apple decides between replacement and refund.

Supporting quotations

For Subscriptions that require your commitment to a specified number of billing periods, any such refund will relate only to the period of access already paid for but not yet provided, and no refund is due in respect of any future monthly periods for which payment has not yet been collected.
Certain Subscriptions may require your commitment to a specified number of billing periods. These Subscriptions do not include any financing charges or credit costs. Each payment shall apply only to the current billing period, and you may not pay charges before they become due.
If technical problems prevent or unreasonably delay delivery of Content, your exclusive and sole remedy is either replacement of the Content or refund of the price paid, as determined by Apple.

Qualifications & exceptions

  • Applies only to Subscriptions that require a commitment to a specified number of billing periods.
  • You may not prepay future commitment periods.

Not stated here

  • The source does not identify which refund "any such refund" refers to; the nearest preceding refund is the technical-delivery remedy in Section B, and no separate cancellation-refund right appears in the supplied text.

You must be 13 (or your country's minimum age); a parent or school creates accounts for younger children

You must be at least 13, or the equivalent minimum age in your Home Country as stated in the account creation process, to create an account and use the Services. A parent or legal guardian can create an Apple Account for a younger child using Family Sharing, or an approved educational institution can create one, though some devices may block such accounts from certain Services. A parent or guardian creating a minor's account should review this Agreement with the minor so both understand it. Family Sharing adds that the Organizer must be the parent or legal guardian of any member under 13, and Ask to Buy is on by default for members under 13 until the parent or guardian turns it off.

Qualifications & exceptions

  • The ban covers manual processes equivalent to automated scraping, not only software.

Content & IP Rights · Restriction or exception

Once downloaded, keeping Content safe is your responsibility, and Apple urges regular backups

It is your responsibility not to lose, destroy or damage Content once you download it, and Apple encourages you to back up your Content regularly. The rules on sales and rentals explain why: purchased Content generally stays available to download again, but it can be removed from the Services, for instance if Apple loses the rights to it, and Apple encourages you to download purchased Content to a device you possess and back it up.

Supporting quotations

It is your responsibility not to lose, destroy, or damage Content once downloaded. We encourage you to back up your Content regularly.
Though it is unlikely, subsequent to your purchase, Content may be removed from the Services and become unavailable for further download or access from Apple (for instance, because Apple loses its right from the Content provider to make it available).

Content & IP Rights · Restriction or exception

Purchased Content usually stays available, but Apple can remove it at any time, ending downloads and access from Apple

Purchased Content will generally remain available for you to download, redownload or otherwise access from Apple. However, after you buy it, Content may be removed from the Services and become unavailable for further download or access from Apple, for instance because Apple loses its rights from the Content provider; Apple calls this unlikely. The Downloads section repeats that Content may be removed from the Services at any time, after which it cannot be downloaded, redownloaded or otherwise accessed from Apple. To keep enjoying Content, Apple encourages you to download all purchased Content to a device you possess and back it up regularly.

Supporting quotations

Purchased Content will generally remain available for you to download, redownload, or otherwise access from Apple.
Though it is unlikely, subsequent to your purchase, Content may be removed from the Services and become unavailable for further download or access from Apple (for instance, because Apple loses its right from the Content provider to make it available).
To ensure your ability to continue enjoying Content, we encourage you to download all purchased Content to a device in your possession and to back it up.

Qualifications & exceptions

Non-Arcade App Store apps are licensed by Apple or the developer under the Standard EULA unless a custom one applies

Section O covers the App Store, excluding Apple Arcade Apps. App licenses come from Apple or from a third-party developer (the "App Provider"). Apple acts as the App Providers' agent in running the App Store and is not a party to the sales contract or user agreement between you and an App Provider; for customers of Apple Distribution International Ltd. or Apple Services Pte. Apps are provided as is, at your sole risk, with warranties disclaimed as far as the law allows

Under the Standard EULA, you acknowledge that you use the Licensed Application at your sole risk. To the maximum extent permitted by law, the App and any services it performs or provides are provided "as is" and "as available", with all faults and without warranty of any kind, and the licensor disclaims all express, implied and statutory warranties and conditions, including merchantability, satisfactory quality, fitness for a particular purpose, accuracy, quiet enjoyment and non-infringement. No oral or written information or advice from the licensor creates a warranty. If the App or services prove defective, you bear the entire cost of servicing, repair or correction. Some jurisdictions do not allow these exclusions or limits on consumers' statutory rights, so they may not apply to you.

App licensors exclude injury and indirect damages and cap total liability at $250, where the law allows

To the extent not prohibited by law, the licensor is not liable for personal injury or for any incidental, special, indirect or consequential damages, such as lost profits, corrupted or lost data, failure to send or receive data, or business interruption, arising from your use of or inability to use the Licensed Application, however caused and even if warned. The licensor's total liability to you for all damages is capped at $250, other than as applicable law may require in personal injury cases. The limits apply even if the stated remedy fails of its essential purpose. Some jurisdictions do not allow excluding liability for personal injury or for incidental or consequential damages, so this limitation may not apply to you.

Supporting quotations

TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR PERSONAL INJURY OR ANY INCIDENTAL, SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER

The foregoing limitations will apply even if the above stated remedy fails of its essential purpose.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR PERSONAL INJURY, OR OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS LIMITATION MAY NOT APPLY TO YOU.

Qualifications & exceptions

  • The $250 cap applies to the licensor of a Licensed Application, not to the Services generally.
  • Personal-injury liability required by law is carved out of the cap.

Cross-references

  • contrast (model-proposed): Apple excludes liability for any damages from your use of the Services, limited only where the law forbids it — contrast: Two liability limits with different scopes pull in different directions: the Standard EULA caps a Licensed Application licensor's total liability at $250 (with a personal-injury carve-out), while the Services clause excludes Apple's liability for all damages, including direct damages, limited only where law forbids. Which applies depends on whether the claim concerns a Licensed Application or the Services.

California law and Santa Clara courts govern, except some non-U.S. citizens (EU, UK, Switzerland, Norway, Iceland)

The Standard EULA's governing-law clause says that, except as the next paragraph provides, the Agreement and your relationship with Apple are governed by California law, excluding its conflict-of-law rules, and you and Apple submit to the personal and exclusive jurisdiction of the courts in Santa Clara County, California. If you are not a U.S. citizen, do not live in the U.S., are not accessing the Service from the U.S., and are a citizen of a listed country, the law named below governs instead and you submit to the non-exclusive jurisdiction of that place's courts. The only listed group is citizens of any European Union country or the United Kingdom, Switzerland, Norway or Iceland, for whom the governing law and forum are those of their usual place of residence. The UN Convention on the International Sale of Goods is excluded.

Supporting quotations

i. Except to the extent expressly provided in the following paragraph, this Agreement and the relationship between you and Apple shall be governed by the laws of the State of California, excluding its conflicts of law provisions.
You and Apple agree to submit to the personal and exclusive jurisdiction of the courts located within the county of Santa Clara, California, to resolve any dispute or claim arising from this Agreement.

  • Section T repeats this clause for the whole Agreement and adds an exception "to the extent required by applicable law".

Not stated here

Some App Store, Books and Podcasts Content is sold by third parties, who alone answer for it; Apple acts as their agent

Some Content in the App Store, Apple Books and Apple Podcasts, including Apple Podcasts Subscriptions, is acquired from the third-party provider of that Content, not from Apple, as shown on the product page or during acquisition. In that case Apple acts as the Content provider's agent and is not a party to the Transaction between you and the provider. For customers of Apple Distribution International Ltd. or Apple Services Pte. Ltd., that entity is the merchant of record, but the Content is still licensed by the provider. The provider reserves the right to enforce the terms of use for its Content and is solely responsible for the Content, for any warranties not disclaimed, and for any claims you or others have about it.

P. ADDITIONAL TERMS FOR APP STORE, APPLE BOOKS, APPLE PODCASTS, AND SELECT CONTENT
Some Content available in App Store, Apple Books, and Apple Podcasts (including Apple Podcasts Subscriptions) are acquired by you from the third-party provider of such Content (as displayed on the product page and/or during the acquisition process for the relevant Content), not Apple.
In such case, Apple acts as an agent for the Content provider in providing the Content to you, and therefore Apple is not a party to the Transaction between you and the Content provider.
However, if you are a customer of Apple Distribution International Ltd. or Apple Services Pte. Ltd., then that entity is the merchant of record for the Content you acquire, but such Content is licensed by the Content provider.
The Content provider reserves the right to enforce the terms of use relating to such Content.
The Content provider is solely responsible for such Content, any warranties to the extent that such warranties have not been disclaimed, and any claims that you or any other party may have relating to such Content.

Qualifications & exceptions

  • Only "some" Content is sold by third parties; the product page or acquisition flow shows which.
  • The provider's responsibility for warranties extends only to warranties not disclaimed.

Not stated here

  • Content providers' own terms of use are not supplied.

If you are a qualified public educational or government institution and any part of the Agreement, for example all or part of the indemnification section, is invalid or unenforceable against you under applicable local, national, state or federal law, that part is treated as invalid or unenforceable and is instead read in the way most consistent with the governing law.
