Regional, Economic and Trade Requirements

Effective 24 November 2025

Introduction

This Regional, Economic and Trade Requirements provision (this “Provision”) is part of your agreement with Bloomberg L.P. or its affiliates (the “Agreement”) and describes certain applicable requirements for the data, materials or services provided under that Agreement (for purposes of this Provision, the “Services”).1

In the event of a direct conflict between terms of the Agreement and this Provision, the terms of this Provision shall prevail with respect to the Services. However, your Agreement may contain additional terms not included in (and thus not superseded by) this Provision.

For purposes of this Provision, “Recipient” refers to the legal entity that subscribes for the Services. The Agreement may define the Recipient as, among other terms, the “Service Recipient” (“SR”), “Participant” or “Licensee.”

This Provision may be amended from time to time to support Bloomberg’s2 compliance with applicable laws, regulations, or regulatory requirements. You can review the current version of this Provision at any time by visiting https://www.bloomberg.com/trade-controls.

Reputational and Operational Considerations

Recipient represents, warrants and covenants to Bloomberg and its affiliates that none of Recipient or any person who acts on behalf of or at the direction of Recipient shall use (or enable others to use) the Services or anything created using the Services in connection with activities: (i) relating to nuclear, chemical or biological weapons proliferation, terrorism, corruption, undermining of democratic rights and government, money laundering, tax evasion or human rights violations, or other similarly egregious activities; or (ii) in, or for the benefit of, jurisdictions in which for reputational and/or operational reasons Bloomberg and its affiliates have chosen to not market or otherwise support the offering of services, which currently consist of Cuba, North Korea, Iran and the non-Ukraine-government-controlled regions of Ukraine (each, an “Excluded Jurisdiction”).

Economic Sanctions and Export Controls

Notwithstanding any other provision of the Agreement, Bloomberg does not represent that the Services or anything created using the Services are appropriate or available for use in any particular location or for any or all purposes. Recipient represents, warrants and covenants to Bloomberg and its affiliates that none of Recipient or any person who acts on behalf of or at the direction of Recipient shall use (or enable others to use) the Services or anything created using the Services in connection with activity: (i) in, or for the benefit of, any country or region with respect to which the United Nations, United States, European Union, United Kingdom, and/or any country3 in which Bloomberg or its affiliates operate Services provided to Recipient (the “Sanctioning Authorities”) maintains sanctions and/or export controls prohibiting all or substantially all shipment or provision of services, goods, technology or software (a “Sanctioned Jurisdiction”); (ii) to, or for the benefit of, the government of an Excluded Jurisdiction or a Sanctioned Jurisdiction or a person located in or normally a

Agreement, irrespective of any differing definitions.

resident of or legally organized under the laws of an Excluded Jurisdiction or a Sanctioned Jurisdiction; (iii) involving or benefiting a government or person whose assets a Sanctioning Authority has blocked or frozen or to which a Sanctioning Authority restricts the shipment or provision of services, goods, technology or software (a “Prohibited Party”); (iv) to the extent applicable, for the purpose of transacting in, providing financing for, or otherwise dealing in prohibited equity or debt of, or extending credit to, persons identified by (or owned or controlled, whether individually or in aggregate, by persons identified by) any Sanctioning Authority as being subject to sanctions prohibiting such activities; or (v) for any purpose that would be prohibited under the economic sanctions or export controls of any Sanctioning Authority.

Each time Recipient receives or uses the Services or anything created using the Services, Recipient shall be deemed to represent and warrant to Bloomberg and its affiliates that none of Recipient or any person who acts on behalf of or at the direction of Recipient or any person on whose behalf Recipient is acting, is: (i) located in, normally a resident of, legally organized under the laws of, or the government of, any Excluded Jurisdiction or Sanctioned Jurisdiction; or (ii) a Prohibited Party.

The foregoing representations, warranties and covenants also apply to any affiliates of Recipient or other parties that Recipient permits to access the Services.

Equipment and Other Goods

For the avoidance of doubt, this Provision also applies to any equipment or other goods provided to Recipient in connection with the Agreement. Recipient shall immediately cease use of any such equipment or goods for any purpose (and Bloomberg reserves the right to disable such use at its discretion) upon (i) suspension or termination of Services or (ii) Recipient’s breach of any of the foregoing representations, warranties, and covenants.

Suspension and Termination

Bloomberg reserves the right to suspend or terminate all or a portion of the Services to Recipient to avoid violating or incurring the risk of violating, applicable laws or regulations, including sanctions and/or export controls, or engaging in activities or with parties not comporting with the above requirements. In certain instances, Bloomberg may be required to do so immediately. Bloomberg will attempt to notify Recipient of such suspension or termination within a reasonable time.
