Order problems are between you and the merchant; card disputes go to your issuer

Your dealings with a merchant on a Cash App Ordering Profile are between you and that merchant, not Cash App. Merchants alone handle order management, service, fulfillment, refunds, disputes and customer support. For disputes about a payment method used with the Checkout Features, you must contact your card issuer. Disputes about Local Cash Rewards or Cash App's own electronic funds transfer services (such as Cash App Pay or the Cash App Card) follow the Section XII dispute procedures, but this excludes merchant transactions made with Checkout Features on Ordering Profiles. You can contact Cash App Support at 1-800-969-1940 or cash.app/help.

You alone are responsible for false or misleading Pool content and any misuse. You own the money, including Pool contributions, but may not use it for other purposes. “Disputes” covers any claim with Cash App, including past conduct; a specific clause covers individuals

For the arbitration section, "Disputes" means any claim, controversy or dispute between you and the company or its processors, suppliers or licensors (and their affiliates and staff), whenever it arose, including conduct before these terms took effect, and including anything relating to these terms, the services or the relationship. The terms then set out an arbitration provision that applies to individual Cash App customers.

Supporting quotations

“Disputes” are defined as any claim, controversy, or dispute between you and the Company, its processors, suppliers or licensors
including any claim, controversy, or dispute based on any conduct of you or the Company that occurred before the effective date of these Terms
If you are an individual Cash App customer, this arbitration provision applies to you:

Qualifications & exceptions

  • Disputes include claims about conduct that predates these terms.

Legal Rights & Agreement Rules · Restriction or exception

Individuals must arbitrate disputes one-on-one; no class actions or jury trials, except small claims

For individual customers, all Disputes not resolved informally or brought in small claims court go to individual arbitration before a neutral arbitrator who can award the same individual relief a court can. Arbitration is individual only: class arbitrations, class actions, representative actions, mass actions and consolidation are not allowed. You waive any right to a jury trial and to join a class action against the company. Disputes can still be settled on a class or consolidated basis. If any arbitration term, including the Bellwether procedures, is unenforceable, it is severed and the rest enforced, but never so as to allow a class, consolidated, mass or representative arbitration.

Supporting quotations

You and the Company agree that any and all Disputes, except those that are resolved informally or brought in a small claims court, will be individually arbitrated by a neutral arbitrator who has the power to award the same individual damages and individual relief that a court can.
CLASS ARBITRATIONS, CLASS ACTIONS, REPRESENTATIVE ACTIONS, MASS ACTIONS, AND CONSOLIDATION WITH OTHER ARBITRATIONS ARE NOT PERMITTED.
YOU WAIVE ANY RIGHT TO HAVE YOUR CASE DECIDED BY A JURY AND YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION AGAINST THE COMPANY.
Nothing in this agreement prevents you or the Company from settling Disputes on a class, representative, or consolidated basis.
the unenforceable term will be severed, and the remaining terms will be enforced (but in no case will there be a class action, consolidated action, mass action or representative action arbitration).

Qualifications & exceptions

  • This is the arbitration provision for individual customers; a parallel provision applies to Business Account customers.
  • You can opt out of arbitration within 30 days (see the opt-out card).

Legal Rights & Agreement Rules · Procedure

Before suing or arbitrating, you must send a signed individual notice and personally meet and confer within 60 days

Before any arbitration, small claims case or permitted lawsuit, each side must send a written Notice and personally meet and confer to try to resolve the Dispute; skipping this is a material breach. Notices to the company go by mail to Block, Inc., Attn: Arbitration Agreement, 1955 Broadway, Suite 600, Oakland, CA 94612. The Notice must include your name, mailing address, $Cashtag, email and phone; enough detail to evaluate your individual claim; the specific relief sought with a good-faith dollar calculation and how it was computed; and your personal signature. A Notice for multiple parties is invalid as to all. The parties try to resolve it within 60 days, including an individual phone or video conference that you must personally attend even if you have a lawyer. Limitation periods are paused during this process.

Supporting quotations

each party agrees to send to the other party a written Notice (“Notice”) and personally meet and confer to informally resolve any Dispute.
Both parties recognize that this is an important requirement, and that breach of this requirement would be a material breach of the Terms.
Any Notice to the Company should be sent by mail to Block, Inc., Attn: Arbitration Agreement, 1955 Broadway, Suite 600, Oakland, CA 94612.
(iv) be personally signed by you or the Company, as applicable.
A Notice brought on behalf of multiple parties is invalid as to all.
If you are represented by counsel, your counsel may participate in the conference, but you shall also fully participate in the conference.
Any statute of limitations shall be tolled while the parties engage in the informal resolution process required by this paragraph.

Qualifications & exceptions

  • This is the arbitration provision for individual customers; a parallel provision applies to Business Account customers.

Legal Rights & Agreement Rules · Procedure

After the 60-day process either side may choose small claims or arbitration; skipping steps allows dismissal

Only after the 60-day period and the conference may either side give written notice electing small claims court or arbitration; the other side then has 7 days to respond, including to choose small claims. After that, either may start arbitration if not in small claims. Completing the informal process is a condition precedent; failing it lets the other side seek immediate dismissal and costs. If either side chooses small claims, the Dispute stays there. Courts in Oakland/Alameda County or the Northern District of California may enforce these pre-filing steps, including by staying an arbitration, and may decide whether a claim was previously released.

Supporting quotations

After that sixty (60) day period and not before, and after the informal resolution conference has occurred and not before, either party may elect, in a written Notice to the other party as described above, that it will pursue the matter either through small claims court or arbitration.
The party receiving the notice shall then have seven (7) days to respond, including to elect for the case to be heard by a small claims court with jurisdiction.
A party’s failure to satisfy this condition precedent entitles the opposing party to seek immediate dismissal of the arbitration or litigation (where permitted) and the right to seek reimbursement of its costs.
If either party elects small claims court, the Dispute will be resolved in that forum and not through arbitration.
may enter injunctive relief to enforce the pre-filing requirements of this paragraph, including an injunction to stay an arbitration that has been commenced in violation of this paragraph.

Qualifications & exceptions

  • This is the arbitration provision for individual customers; a parallel provision applies to Business Account customers.

Legal Rights & Agreement Rules · Procedure

Arbitration is run by NAM under its rules; the arbitrator decides enforceability questions

Disputes not resolved informally or in small claims are finally resolved by binding individual arbitration before one arbitrator administered by National Arbitration and Mediation (NAM) under its Comprehensive Rules and, where applicable, its Mass Arbitration rules. If NAM is unavailable, either side may ask a court to appoint an arbitrator under 9 U.S.C. § 5. Except as stated and for small claims matters, the arbitrator decides threshold arbitrability questions, including whether the terms are enforceable, unconscionable or illusory and defenses such as waiver or delay.

Supporting quotations

all Disputes will be resolved finally and exclusively by binding individual arbitration with a single arbitrator (the “Arbitrator”) administered by National Arbitration and Mediation (“NAM”)
In the event NAM is unavailable to administer the arbitration, either party may invoke 9 U.S.C. § 5 to request that a court appoint the Arbitrator.
the Arbitrator shall be responsible for determining all threshold arbitrability issues, including issues relating to whether the Cash App Terms (or any aspect thereof) are enforceable, unconscionable or illusory

Legal Rights & Agreement Rules · User right or choice

Either side can take an individual dispute to small claims court, even after an arbitration demand

Subject to jurisdiction rules, either side may pursue a Dispute in local small claims court instead of arbitration, as long as it stays there and is individual. If an arbitration demand was filed but no arbitrator chosen yet and the claim fits the filer's local small claims court, the other side can ask for small claims, and the provider closes the arbitration once outstanding fees are paid.

Supporting quotations

either party may elect to pursue a Dispute in a local small-claims court rather than through arbitration so long as the matter remains in small claims court and proceeds only on an individual basis.
the other party can send a written notice to the opposing party and the arbitration provider requesting that the Dispute be decided in small claims court.

Qualifications & exceptions

  • Individual-customer arbitration provision; the Business Account provision has parallel terms.

Legal Rights & Agreement Rules · Procedure

Arbitration is mostly on documents, remote if a hearing is needed, confidential, and binds only the parties

The Federal Arbitration Act (9 U.S.C. §§ 1-16) fully applies. Consistent with NAM rules, arbitration proceeds on written submissions to one arbitrator; any hearing is by phone or video, and an in-person hearing, if required, is held as close to your hometown as practical. Both sides may file early dispositive motions. The award is binding and can be entered as a court judgment. Both sides must keep the arbitration's existence, content and result confidential except to enforce or challenge the award or as law requires. Declaratory or injunctive relief is limited to the individual claimant, and decisions have no precedential effect for others.

Supporting quotations

The Federal Arbitration Act, 9 U.S.C. §§ 1-16, including its procedural provisions, fully applies.
To the extent the Arbitrator determines a hearing is required, the arbitration shall be conducted remotely by telephone or video conference.
the arbitration hearing will take place as close to your hometown as practicable.
Each of the parties shall maintain the confidential nature of the arbitration and shall not (without the prior written consent of the other party) disclose to any third party the fact, existence, content, award, or other result of the arbitration
While an Arbitrator may award declaratory or injunctive relief, the Arbitrator may do so only with respect to the individual party seeking relief
The Arbitrator’s decision and judgment thereon will not have a precedential or collateral estoppel effect with respect to disputes involving other parties.

Qualifications & exceptions

  • Individual-customer arbitration provision; the Business Account provision has parallel terms.

Legal Rights & Agreement Rules · Procedure

If 25+ similar claims are filed, 12 test cases proceed while the rest are paused

If 25 or more similar individual arbitration demands are brought by or with the help of the same or coordinated counsel (a "Mass Proceeding"), 12 demands (six chosen by each side) proceed as "Bellwether Arbitrations" under NAM's mass-filing rules, while all others are stayed. No one pays arbitrator or administrator fees on stayed demands during that time, except initial filing fees and any Procedural Arbitrator fees, and limitation periods for stayed claims are paused from when the claimant first sent the pre-filing Notice. Within 5 Business Days of notice of filings, any party may ask for a Procedural Arbitrator to decide threshold questions, such as whether the bellwether procedures apply or a demand belongs to the Mass Proceeding; the company pays the Procedural Arbitrator's costs.

Supporting quotations

if twenty-five (25) or more similar individual arbitration demands are brought against you or us by or with the assistance of the same or coordinated counsel or entities (“Mass Proceeding”), the parties shall select twelve (12) individual arbitration demands (six (6) per side) for arbitration to proceed (“Bellwether Arbitrations”).
While the Bellwether Arbitrations are adjudicated, all other demands for arbitration that are part of the Mass Proceeding shall be held in abeyance and stayed
Any applicable statute of limitations shall be tolled as to non-Bellwether Arbitrations demands when such non-Bellwether Arbitrations are held in abeyance.
Any party may request, within five (5) Business Days of being notified by the arbitration provider that arbitration demand(s) have been filed, that the arbitration provider appoint a sole procedural arbitrator (“Procedural Arbitrator”)
The Company shall pay the Procedural Arbitrator’s costs.

Qualifications & exceptions

  • Individual-customer arbitration provision; the Business Account provision has parallel terms.

Legal Rights & Agreement Rules · Procedure

After bellwether cases, remaining mass claims go to mediation, then individual arbitration

The parties agree the bellwether process is meant to be faster and cheaper, and will work in good faith to finish each bellwether arbitration within 120 days of its first pre-hearing conference. Afterwards, all remaining demands go to a mediation run by the provider; if not resolved within 30 days after it, they proceed as individual arbitrations unless the parties agree otherwise in writing. Parties cooperate to defer costs of stayed claims and limit time and cost, possibly with a discovery special master and expedited schedule. The bellwether procedures never authorize class, collective, mass or consolidated arbitration beyond what the section states.

Supporting quotations

All parties shall work in good faith with the Arbitrator or Procedural Arbitrator to complete each Bellwether Arbitration within one hundred and twenty (120) calendar days of its initial pre-hearing conference.
Following resolution of the Bellwether Arbitrations, all parties agree to engage in a mediation of all remaining arbitration demands comprising the Mass Proceeding (the “Bellwether Mediation”).
If the parties are unable to resolve the remaining demands for arbitration comprising the Mass Proceeding within thirty (30) calendar days following the Bellwether Mediation, the remaining demands for arbitration comprising the Mass Proceeding shall be administered by the arbitration provider on an individual basis
including deferring any costs associated with the non-Bellwether Arbitration Mass Proceedings until the Bellwether Arbitrations and subsequent Bellwether Mediation have concluded
These Bellwether Arbitration procedures shall in no way be interpreted as authorizing a class, collective, or mass action of any kind

Business Account customers have a separate but parallel individual-arbitration clause

It refers to "these General Terms" rather than "these Cash App Terms".

If you are a customer with a Cash App Business Account, this arbitration provision applies to you:
You and the Company agree that any and all Disputes, except those that are resolved informally or brought in a small claims court, will be individually arbitrated by a neutral arbitrator

For Business Account customers, 25 or more similar demands from the same or coordinated counsel form a Mass Proceeding, and 12 bellwether cases (six per side) proceed while others are stayed with no fees beyond initial filing and Procedural Arbitrator fees, and limitation periods tolled from the first Notice. Here the arbitration provider decides in its sole discretion whether demands form a Mass Proceeding, but either side can ask for a Procedural Arbitrator if it disagrees, within 5 Business Days of being told a Mass Proceeding exists; NAM's mass-filing rules govern that arbitrator, whose costs the company pays. The parties aim to finish each bellwether case within 120 days of its first pre-hearing conference.

The determination of whether or not a demand/demands is/are part of a “Mass Proceeding” is in the arbitration provider’s sole discretion; however, either party can request the appointment of a Procedural Arbitrator (as described below) if they do not agree with the arbitration provider’s determination.
all other demands for arbitration that are part of the Mass Proceeding shall be held in abeyance and stayed
Any applicable statute of limitations shall be tolled as to non-Bellwether Arbitrations demands when such non-Bellwether Arbitrations are held in abeyance.
Any party may request, within five (5) Business Days of being notified by the arbitration provider that a Mass Proceeding exists
The Company shall pay the Procedural Arbitrator’s costs.
All parties shall work in good faith with the Arbitrator or Procedural Arbitrator to complete each Bellwether Arbitration within one hundred and twenty (120) calendar days of its initial pre-hearing conference.

Parties cooperate to defer costs and reduce time and cost, and the procedures never authorize class, collective, mass or consolidated arbitration except as the section states.
