New site visits bind you to updated terms, with specific dispute safeguards

TypeSafe reserves the right to change the terms prospectively at any time, and each site visit or use binds you to the current version. Otherwise amendments require a writing signed by authorized representatives of both sides. Disputes use the terms in force when the dispute arose. For substantive arbitration changes, you can reject the change by written notice within 30 days; your account then ends immediately and the prior arbitration provision survives.

Supporting quotations

We reserve the right to change these Terms on a going-forward basis at any time. You agree to be bound by the most current version of these Terms each time you access or use the Site. Except as expressly permitted in this Section 6 (Modification of these Terms), the Terms by which you and we are bound may be amended only by a written agreement signed by authorized representatives of each of you and us. Disputes arising under these Terms will be resolved in accordance with the version of these Terms that was in effect at the time the dispute arose.
If TypeSafe makes any substantive change to this arbitration provision, you may reject the change by sending us written notice within thirty (30) days of the change to TypeSafe’s address for Notice of Arbitration, in which case your account with TypeSafe will be immediately terminated and this arbitration provision, as in effect immediately prior to the changes you rejected, will survive.

TypeSafe can change or discontinue the site without notice

TypeSafe reserves the right to change or stop the site or particular features, temporarily or permanently, at any time without notice. It disclaims liability for these changes and for suspending or ending access or use.

Supporting quotations

TypeSafe reserves the right to modify or discontinue the Site at any time (including by limiting or discontinuing certain features of the Site), temporarily or permanently, without notice to you. TypeSafe will have no liability for any change to the Site or any suspension or termination of your access to or use of the Site.

Account & Service Control · Restriction or exception

A violation ends your access rights immediately; specified clauses survive

The terms apply whenever you access or use the site. If you violate any provision, you must stop all use immediately and your rights and authorization end. All definitions, the license restrictions in 3(b), submitted-information terms in 3(c), and Sections 4 through 13 survive termination. This includes ownership, indemnity, liability and dispute provisions; it does not preserve the site-access license.

Supporting quotations

These Terms are in effect at all times that you access or use the Site. If you violate any provision of these Terms: (a) you must immediately cease all use of the Site; (b) your rights under these Terms are terminated and you are no longer authorized to access or use the Site; and (c) all definitions and Sections 3(b) (License Restrictions), 3(c) (Information You Submit), and 4 (Ownership; Proprietary Rights) through 13 (Miscellaneous) will survive termination.

You must defend TypeSafe against specified third-party claims

To the fullest extent law permits, you must defend and indemnify TypeSafe and its listed related entities and personnel against third-party claims and associated losses, liabilities and expenses, including reasonable legal fees and costs. Covered claims arise from your unauthorized use or misuse, violations of terms or law, violations of third-party rights, or disputes or issues between you and a third party.

Supporting quotations

To the fullest extent permitted by law, you are responsible for your use of the Site, and you will defend and indemnify TypeSafe and its officers, directors, employees, consultants, affiliates, subsidiaries, licensors, suppliers, and agents (together, the “TypeSafe Entities”) from and against every claim brought by a third party against a TypeSafe Entity, and any related liability, damage, loss, and expense, including reasonable attorneys’ fees and costs, arising out of or related to: (a) your unauthorized use of, or misuse of, the Site; (b) your violation of any portion of these Terms or any applicable law or regulation; (c) your violation of any third-party right, including any intellectual property or other proprietary right or right of publicity, confidentiality, or privacy; or (d) any dispute or issue between you and any third party. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (without limiting your indemnification obligations with respect to that matter), and in that case, you agree to cooperate with our defense of the applicable claims.

Legal Rights & Agreement Rules · Procedure

TypeSafe can take control of an indemnified defense

TypeSafe may assume exclusive defense and control of a matter subject to your indemnity at its own expense. Doing so does not limit your indemnity obligations for that matter, and you must cooperate with its defense. The indemnity operates to the fullest extent permitted by law.

The site comes without stated guarantees of reliability or fitness

The site, materials and content are provided as is and as available. TypeSafe disclaims express and implied warranties, including merchantability, fitness, title, quiet enjoyment, noninfringement and warranties from dealings or trade. It does not promise uninterrupted, secure or error-free operation, freedom from viruses or other harmful components, or correction of those issues. These disclaimers extend only as far as law permits; non-disclaimable warranties and rights remain.

Supporting quotations

(a) THE SITE AND ALL MATERIALS AND CONTENT AVAILABLE THROUGH THE SITE ARE PROVIDED “AS IS” AND ON AN “AS AVAILABLE” BASIS. TYPESAFE DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, RELATING TO THE SITE AND ALL MATERIALS AND CONTENT AVAILABLE THROUGH THE SITE, INCLUDING: (I) ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, OR NON-INFRINGEMENT; AND (II) ANY WARRANTY ARISING OUT OF COURSE OF DEALING, USAGE, OR TRADE. TYPESAFE DOES NOT WARRANT THAT THE SITE OR ANY PORTION OF THE SITE, OR ANY MATERIALS OR CONTENT OFFERED THROUGH THE SITE, WILL BE UNINTERRUPTED, SECURE, OR FREE OF ERRORS, VIRUSES, OR OTHER HARMFUL COMPONENTS, AND TYPESAFE DOES NOT WARRANT THAT ANY OF THOSE ISSUES WILL BE CORRECTED.
(c) THE LIMITATIONS, EXCLUSIONS AND DISCLAIMERS IN THIS SECTION APPLY TO THE FULLEST EXTENT PERMITTED BY LAW. TYPESAFE DOES NOT DISCLAIM ANY WARRANTY OR OTHER RIGHT THAT TYPESAFE IS PROHIBITED FROM DISCLAIMING UNDER APPLICABLE LAW.

Legal Rights & Agreement Rules · Restriction or exception

Site information creates no extra warranty, and use is at your risk

Advice or information from the site or TypeSafe Entities does not create warranties beyond those expressly stated in these terms or a separate written agreement with TypeSafe. TypeSafe says you use the site at your own discretion and risk and disclaims responsibility for resulting damage, including property or device damage and lost data. The section preserves rights and warranties that law prohibits TypeSafe from disclaiming.

Supporting quotations

(b) NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM THE SITE OR TYPESAFE ENTITIES, OR ANY MATERIALS OR CONTENT MADE AVAILABLE THROUGH THE SITE, WILL CREATE ANY WARRANTY THAT IS NOT EXPRESSLY STATED IN THESE TERMS OR A SEPARATE WRITTEN AGREEMENT BETWEEN YOU AND TYPESAFE. WE ARE NOT RESPONSIBLE FOR ANY DAMAGE THAT MAY RESULT FROM THE SITE OR YOUR ACCESS TO OR USE OF THE SITE. YOU UNDERSTAND AND AGREE THAT YOU ACCESS AND USE THE SITE AT YOUR OWN DISCRETION AND RISK, AND THAT WE ARE NOT RESPONSIBLE FOR ANY DAMAGE TO YOUR PROPERTY (INCLUDING YOUR COMPUTER SYSTEM OR MOBILE DEVICE USED IN CONNECTION WITH THE SITE) OR ANY LOSS OF DATA.

Charges & Financial Obligations · Restriction or exception

TypeSafe excludes indirect and several other kinds of damages

To the fullest extent law permits, the TypeSafe Entities disclaim liability for indirect, incidental, special, consequential or punitive damages, including lost profits, goodwill or other intangible losses, connected with site access, use or inability to use it. The exclusion applies across the listed legal theories, including negligence, even if an entity was told damages were possible.

Supporting quotations

(a) TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE TYPESAFE ENTITIES BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, OR ANY OTHER INTANGIBLE LOSS) ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR YOUR INABILITY TO ACCESS OR USE, ANY PORTION OF THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT ANY TYPESAFE ENTITY HAS BEEN INFORMED OF THE POSSIBILITY OF DAMAGES.

Charges & Financial Obligations · Restriction or exception

The general aggregate liability cap is $100

To the fullest extent permitted by law, the TypeSafe Entities’ total liability to you for all claims arising from site use, inability to access or use it, or otherwise under these terms is limited to $100 USD, whether in contract, tort or otherwise. This is the general liability clause; Section 12 separately contains a conditional arbitration-payment promise, addressed with the arbitration terms.

Supporting quotations

(b) TO THE FULLEST EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF THE TYPESAFE ENTITIES TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR ANY INABILITY TO ACCESS OR USE ANY PORTION OF THE SITE OR OTHERWISE UNDER THESE TERMS, WHETHER IN CONTRACT, TORT, OR OTHERWISE, IS LIMITED TO $100 USD.

Cross-references

  • contrast (model-proposed): Beating TypeSafe’s last pre-selection offer triggers a minimum $10,000 payment — contrast: Section 11 sets a general $100 aggregate cap, while Section 12(g) promises the greater of an award or $10,000 if the award beats TypeSafe’s last written offer before arbitrator selection. These provisions pull in different directions. The text does not expressly reconcile them; this records the tension without deciding enforceability or priority.

Legal Rights & Agreement Rules · Context

Liability limits are described as independent risk allocations

The terms describe warranty disclaimers, damage exclusions and liability limits as essential allocations of risk between the parties. They say each provision is severable and independent, and Section 11’s limits continue even if a limited remedy fails its essential purpose. The limits themselves are expressed to operate only to the fullest extent allowed by law.

Supporting quotations

(c) EACH PROVISION OF THESE TERMS THAT PROVIDES FOR A LIMITATION OF LIABILITY, DISCLAIMER OF WARRANTIES, OR EXCLUSION OF DAMAGES IS INTENDED TO AND DOES ALLOCATE THE RISKS BETWEEN THE PARTIES UNDER THESE TERMS. THIS ALLOCATION IS AN ESSENTIAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN THE PARTIES. EACH OF THESE PROVISIONS IS SEVERABLE AND INDEPENDENT OF ALL OTHER PROVISIONS OF THESE TERMS. THE LIMITATIONS IN THIS SECTION 11 (LIMITATION OF LIABILITY) WILL APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

Legal Rights & Agreement Rules · Procedure

Most disputes go to binding arbitration, including post-termination claims

Subject to the specified court and agency exceptions and your 30-day opt-out, disputes connected with the terms, site or TypeSafe communications go to binding arbitration, across legal theories and even after termination. The terms describe a neutral arbitrator, potentially narrower discovery and limited court review; interpretation, applicability and enforceability of the arbitration agreement are assigned to the arbitrator. Individual small claims, available agency enforcement, court injunctions aiding arbitration and IP-infringement suits remain possible. If the no-class-action clause or all of Section 12 is unenforceable, or TypeSafe receives your opt-out notice, Section 12 is void.

Supporting quotations

Except as described in Section 12(b) (Exceptions) and 12(c) (Opt-Out), you and TypeSafe agree that every dispute arising in connection with these Terms, the Site, or communications from us will be resolved through binding arbitration. Arbitration uses a neutral arbitrator instead of a judge or jury, is less formal than a court proceeding, may allow for more limited discovery than in court, and is subject to very limited review by courts. This agreement to arbitrate disputes includes all claims whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory, and regardless of whether a claim arises during or after the termination of these Terms. Any dispute relating to the interpretation, applicability, or enforceability of this binding arbitration agreement will be resolved by the arbitrator.
Although we are agreeing to arbitrate most disputes between us, nothing in these Terms will be deemed to waive, preclude, or otherwise limit the right of either party to: (a) bring an individual action in small claims court; (b) pursue an enforcement action through the applicable federal, state, or local agency if that action is available; (c) seek injunctive relief in a court of law in aid of arbitration; or (d) to file suit in a court of law to address an intellectual property infringement claim.
If you do not wish to resolve disputes by binding arbitration, you may opt out of the provisions of this Section 12 (Dispute Resolution and Arbitration) within thirty (30) days after the date that you agree to these Terms by sending a letter to TypeSafe AI, Inc., Attention: Legal Department – Arbitration Opt-Out, 255 California St, Suite 1300, San Francisco, CA 94117 that specifies: your full legal name, the email address associated with your account on the Site, and a statement that you wish to opt out of arbitration (“Opt-Out Notice”). Once TypeSafe receives your Opt-Out Notice, this Section 12 (Dispute Resolution and Arbitration) will be void and any action arising out of these Terms will be resolved as set forth in Section 13(b) (Governing Law). The remaining provisions of these Terms will not be affected by your Opt-Out Notice.
If Section 12(h) (No Class Actions) or the entirety of this Section 12 (Dispute Resolution and Arbitration) is found to be unenforceable, or if TypeSafe receives an Opt-Out Notice from you, then the entirety of this Section 12 (Dispute Resolution and Arbitration) will be null and void and, in that case, the exclusive jurisdiction and venue described in Section 13(b) (Governing Law) will govern any action arising out of or related to these Terms.

Legal Rights & Agreement Rules · Restriction or exception

The arbitration section waives jury trials and class participation

The parties waive jury trials and class-action participation in Section 12’s arbitration arrangement. That section is subject to its exceptions and a timely 30-day opt-out. It becomes void if TypeSafe receives the opt-out notice or if the no-class-action provision or entire arbitration section is found unenforceable.

Small claims, agency enforcement and certain court claims remain available

Either side may bring an individual small-claims case, pursue an available enforcement action through the applicable federal, state or local agency, seek a court injunction in aid of arbitration, or sue over intellectual-property infringement. The terms say the arbitration agreement does not waive, preclude or limit these routes.

Supporting quotations

Send a detailed dispute notice and allow 30 days to resolve it

Before arbitration, send notice by certified U.S. Mail or Federal Express with signature required. Email is allowed only if the other party has not provided a current physical address. TypeSafe’s notice address is TypeSafe AI, Inc., 255 California St, Suite 1300, San Francisco, CA 94117. Identify the claimant by name or account number, explain the nature and basis of the dispute, and specify the relief sought. Your billing location sets the hearing venue, with choices for smaller claims

Unless both sides agree otherwise, a hearing takes place in the county and state of your billing address. For claims of $10,000 USD or less that do not seek injunctive relief, you may choose documents-only arbitration, telephone or video, or an in-person hearing under JAMS Rules in your billing county.

Supporting quotations

Any arbitration hearing will take place in the county and state of your billing address unless we agree otherwise or, if the claim is for $10,000 USD or less (and does not seek injunctive relief), you may choose whether the arbitration will be conducted: (a) solely on the basis of documents submitted to the arbitrator; (b) through a telephonic or video hearing; or (c) by an in-person hearing as established by the JAMS Rules in the county of your billing address. During the arbitration, the amount of any settlement offer made by you or TypeSafe must not be disclosed to the arbitrator until after the arbitrator makes a final decision and award, if any. Regardless of the manner in which the arbitration is conducted, the arbitrator must issue a reasoned written decision sufficient to explain the essential findings and conclusions on which the decision and award, if any, are based.

Arbitrators can grant court-type relief, subject to individual-claim limits

Except for Section 12(h)’s bar on class and representative proceedings, the arbitrator can award relief available in a competent court. The award is final and binding, subject to judicial review expressly allowed by law. A party facing an injunctive award may seek court review of that relief without the court being bound by the arbitrator’s legal application or conclusions. Judgment may be entered in any court with jurisdiction.

Supporting quotations

Except as provided in Section 12(h) (No Class Actions), the arbitrator can award any relief that would be available if the claims had been brought in a court of competent jurisdiction. If the arbitrator awards you an amount higher than the last written settlement amount offered by TypeSafe before an arbitrator was selected, TypeSafe will pay to you the higher of: (a) the amount awarded by the arbitrator and (b) $10,000 USD. The arbitrator’s award shall be final and binding on all parties, except (1) for judicial review expressly permitted by law or (2) if the arbitrator’s award includes an award of injunctive relief against a party, in which case that party shall have the right to seek judicial review of the injunctive relief in a court of competent jurisdiction that shall not be bound by the arbitrator’s application or conclusions of law. Judgment on the award may be entered in any court having jurisdiction.
YOU AND TYPESAFE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Beating TypeSafe’s last pre-selection offer triggers a minimum $10,000 payment

If your arbitration award exceeds TypeSafe’s last written settlement offer made before the arbitrator was selected, TypeSafe promises the greater of the award or $10,000 USD. This is conditional, not an automatic payment for filing a claim. Section 11 separately states a general $100 aggregate-liability cap. The provisions pull in different directions; the text does not expressly reconcile that cap with this specific payment promise, so this card reports both rather than deciding which prevails.

Opting out or invalidating the class bar sends disputes to the stated court venue

All of Section 12 becomes null and void if TypeSafe receives your opt-out notice, or if its no-class-action clause or the entire section is found unenforceable. Actions arising out of or related to the terms then follow Section 13(b)’s exclusive Delaware state or federal court jurisdiction and venue. A failure of the class bar therefore affects the whole arbitration section, rather than merely removing that bar.

These Terms are governed by the laws of the state of Delaware without regard to conflict of law principles that would result in the application of the laws of another jurisdiction. You and TypeSafe submit to the personal and exclusive jurisdiction of the state courts and federal courts located within Delaware, for resolution of any lawsuit or court proceeding permitted under these Terms.

Not enforcing a provision once does not waive later enforcement

TypeSafe’s failure to demand performance does not prevent it from demanding performance later. Its waiver of one breach or default does not waive later breaches or the provision itself.

Supporting quotations

The failure to require performance of any provision will not affect our right to require performance at any other time after that, nor will a waiver by us of any breach or default of these Terms, or any provision of these Terms, be a waiver of any subsequent breach or default or a waiver of the provision itself.

Headings do not control meaning, and “including” is nonexclusive

The terms say section headings are only for convenience and do not affect interpretation. Throughout the terms, “including” means “including but not limited to,” so example lists are not necessarily exhaustive.

Supporting quotations

Use of section headers in these Terms is for convenience only and will not have any impact on the interpretation of any provision. Throughout these Terms the use of the word “including” means “including but not limited to.”

Legal Rights & Agreement Rules · Procedure

Most invalid provisions leave the rest intact, with an arbitration exception

The general rule gives an invalid or unenforceable provision effect to the greatest possible extent and leaves the remainder in force. Section 12 has a specific different consequence: if the class-action bar or whole arbitration section is unenforceable, or TypeSafe receives an opt-out notice, the entire arbitration section becomes void and the stated court venue applies.

Supporting quotations

If any part of these Terms is held to be invalid or unenforceable, the unenforceable part will be given effect to the greatest extent possible, and the remaining parts will remain in full force and effect.

Legal Rights & Agreement Rules · Procedure

Delaware law and courts govern permitted court proceedings

The terms select Delaware law, excluding conflict-of-law principles that would apply another jurisdiction’s law. Both parties submit to the personal and exclusive jurisdiction of state and federal courts in Delaware for lawsuits or court proceedings permitted by the terms. This is a court-venue rule, not a replacement for arbitration where Section 12 applies.

Supporting quotations

These Terms are governed by the laws of the state of Delaware without regard to conflict of law principles that would result in the application of the laws of another jurisdiction. You and TypeSafe submit to the personal and exclusive jurisdiction of the state courts and federal courts located within Delaware, for resolution of any lawsuit or court proceeding permitted under these Terms.

Legal Rights & Agreement Rules · Procedure

The terms flag individual arbitration, with exceptions and an opt-out

The introductory notice calls for binding individual arbitration and a jury-trial and class-action waiver. Section 12 preserves individual small-claims cases, available agency enforcement, court injunctions in aid of arbitration and IP-infringement suits. You may also opt out of Section 12 within 30 days after agreeing by mailing the required notice; receipt voids that section. These limits matter to the general warning. Section 12 also becomes void if its no-class-action clause or the entire section is found unenforceable.

Supporting quotations

ARBITRATION NOTICE. Except for certain kinds of disputes described in Section 12 (Dispute Resolution and Arbitration), you agree that disputes arising under these Terms will be resolved by binding, individual arbitration, and BY ACCEPTING THESE TERMS, YOU AND TYPESAFE ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN ANY CLASS ACTION OR REPRESENTATIVE PROCEEDING.
