1.1. Our mission is collaboration without compromise for everyone. We hope you love our products and services — connecting, messaging and sharing files with ease, protected by the industry's most secure end-to-end encryption — as much as we love building them. These Terms of Use ("ToU") govern the legal relationship between us, Wire Swiss GmbH, and you when you use our services as a consumer. We refer to Wire Swiss GmbH collectively as “our Company,” “us,” or “we” throughout these ToU.
1.2. The subject matter of these ToU is the use of the Company's website ("Website"), the mobile software applications ("Mobile Apps"), the desktop applications ("Desktop Apps") and the web applications ("Web Apps") (Mobile Apps, Desktop Apps and Web Apps, collectively, "Apps"), which enable you to use the software and services we offer. Your access and use of the Apps, our Website and of the features, software, products and services provided by us through the Apps or the Website (individually and collectively, "Services") is subject to the terms and conditions in these ToU.
Content & IP Rights · Restriction or exception
Independent apps follow their code license, unless they connect to Wire
An app you compile from Wire's open source software is generally outside these terms and may be used as its source-code license permits. If it connects to Wire's servers for any purpose, compliance with these terms becomes a condition of using Wire's servers and network; references to an App then include that independent app.
Supporting quotations
1.3. You may compile our open source software to develop your own mobile, desktop or web application ("Independent App"). These ToU do not apply to Independent Apps. You are free to utilize and exploit your Independent App in any way you choose and that is permitted by the license under which the source code was published. However, if you wish to use your Independent App to utilize and connect to our servers for any purposes, then, as a condition to your use of our servers and network infrastructure, your Independent App must comply with and may only be used in accordance with our ToU. Any reference in these ToU to an App also refers to any Independent Apps that connect to our servers for any purposes.
Account & Service Control · Restriction or exception
Using the service accepts the terms; minors generally need consent
Using the services confirms acceptance of these terms. Users under 18 need their legal guardian's consent unless the stated Swiss Civil Code Article 19d exception for legally using their own funds applies. Anyone who does not accept must not use the apps, website or services.

If you are a minor under the age of 18, you need your legal guardian's consent unless you can legally use your own funds under Swiss Civil Code (ZGB) Art. 19d. If you do not accept these ToU, then you must not use the Apps, the Website and/or the Services.

Wire is not a replacement for emergency-capable telephone service
Unless otherwise agreed, you may not use Wire to operate or contact emergency services or public emergency centers, or forward emergency calls to the listed institutions. Wire is not a replacement for your primary telephone service.

Charges & Financial Obligations · Restriction or exception
Paid features incur fees on the subscribing account
Apps are generally free, but specified features are paid and can be booked through your account or sales. The account subscribing to extra team functions incurs the charges. Using a Paid Service agrees to its specified fees, stated to include applicable taxes.
Supporting quotations
4.1. The use of the Apps is generally free of charge for you (freemium). Some of our Services are offered for a fee (collectively, “Paid Services”), which, for instance, facilitate conference calls, allow to share files or to run our products from your own server. You can book these in your user account or by reaching out to our sales team. Additional costs for Paid Services are incurred by the user account that subscribes the additional functions for the respective team. This section applies to any purchases of Paid Services. By using a Paid Service, you agree to pay the specified fees. All fees are inclusive of taxes, which we will charge as applicable. Our Paid Services automatically renew for the booking interval you select (such as annually or biennially), unless canceled in writing at least thirty (30) days before expiration. For the avoidance of doubt, this requirement supersedes the general termination right stated in Section 5. Subscriptions begin on your purchase date, and we will bill or charge you in the automatically renewing interval you select, on a pre-pay basis until you terminate.
Paid subscriptions start on purchase, are prepaid, and automatically renew for the selected interval unless canceled in writing at least 30 days before expiration. That rule supersedes the general Section 5 termination right; Section 5.3 places paid termination at the end of the next billing period. Discounts revert to full price after their period. Separately, a renewal fee increase under Section 4.3 requires at least 30 days' notice and explicit acceptance or renewal stops. Good-cause termination without notice remains available. A more than insignificant product change without an unchanged alternative also carries the Section 7.2 statutory termination right within 30 days of notice.

4.2. By enrolling in a subscription, you authorize us to automatically charge you the then-current fees and taxes for each subsequent subscription period until the subscription is cancelled. If you have received a discount, your subscription will automatically renew at the full subscription price at the end of the discount period. This means that unless you cancel a subscription, it will automatically renew, and we will charge your payment method.
4.3. Upon renewal, we may increase your fees for the subscription up to our then-current list price provided to you or published on our Website. If we increase your fees for the subscription, we will notify you at least thirty (30) days in advance of your renewal and the increased fees will apply at the start of the next renewal term. If you do not explicitly accept the new pricing, your subscription will not renew automatically.
5.3. In case of a Paid Service, the termination takes place at the end of the next billing period. You may terminate a Paid Service one thirty (30) days before the scheduled end date of the service.
5.4. The right to termination without notice for good cause shall remain unaffected. The termination must in any case be made in text form.
7.2. We may change the digital products behind our Services to improve your user experience (such as by adding new features or making them easier to use), to adapt to a new technical environment, to accommodate an increased number of users, to ensure functionality or security, to implement legal requirements, or as a result of case law or regulatory decisions. These changes are free of charge for you. You will be informed about significant changes within a reasonable period of time in a clear and comprehensible manner. If a change affects your access to or usability of our Services more than insignificantly and you are not offered the use of an unchanged version of our Services, you are entitled to terminate the agreement with us within thirty (30) days of receipt of our information in accordance with the statutory provisions.
Not stated here
Section 5.3 literally says 'one thirty (30) days'; Section 4.1 gives the clear at-least-30-day written cancellation rule.

Wire must notify you of a renewal price increase and obtain acceptance
Wire may increase subscription fees at renewal up to the then-current list price provided to you or published on its website. It must notify you at least 30 days before renewal; the increase applies at the next renewal term. Without your explicit acceptance of the new price, the subscription does not automatically renew.

If you do not explicitly accept the new pricing, your subscription will not renew automatically.
Payment details may be kept until you request deletion
You must provide accurate, current payment details. Supplying them authorizes Wire to retain them until you request deletion. If it cannot charge your primary method, you authorize it to charge updated information from your bank or payment provider, or another method you supplied.
Supporting quotations
4.4. You must provide accurate and up-to-date payment information. By providing your payment information, you authorize us to store it until you request it to be deleted. All invoices are immediately due. If we suspect fraud, your payment fails, or Paid Services are otherwise not paid for or not paid for on time or charged back, we may immediately cancel or revoke your access to the Paid Services without prior notice. You authorize us to charge any updated payment information provided by your bank or payment service provider (e.g. new expiry date) or any other payment method provided to us if we are unable to charge your primary payment method.

Payment problems can immediately end paid access

European users may have a limited 14-day withdrawal right
A European user may be able to withdraw without a reason within 14 days of purchase under applicable law. The clause excludes purchases involving downloadable content or customizable products, and further conditions the right on the service not being fully performed or on other restrictions permitted by law. It does not promise an unconditional refund or a withdrawal right to every user.
Supporting quotations
4.5. As a European user you may have the right to withdraw from the transaction within fourteen (14) days of the purchase date without giving any reason according to applicable law, provided that the purchase of the respective Paid Service does not involve downloadable content or customizable products and (i) the Service has not been fully performed or (ii) there are other restrictions permitted by law.
Not stated here
The clause's alternative about 'other restrictions permitted by law' does not identify those restrictions; applicable statutory details are not supplied.

You bear network and mobile-access charges
For both paid and free use, Wire disclaims responsibility for mobile telephony, internet access, and additional charges you incur by accessing its services through the internet.

Ordinary termination has notice and paid-plan limits
Unless a specific agreement says otherwise, the use agreement is indefinite. Section 5.2 lets you give notice at any time without reasons and provides a 30-day notice period for both parties, subject to subscription-specific rules. Paid termination occurs at the end of the next billing period; Section 4.1 requires written cancellation at least 30 days before expiration and overrides the general rule. Termination must be in text form; a website button may also be available for website contracts. Good-cause termination without notice remains. Special exit rights apply to qualifying product changes within 30 days of notice and to free-only users following amendments, subject to Section 16.2's exceptions.
Supporting quotations
5.1. This contract of use is concluded for an indefinite period, unless otherwise stipulated in a specific agreement.
5.2. Unless a specific subscription model states otherwise, you may terminate the use agreement at any time without giving reasons. Both parties may terminate this agreement with a notice period of thirty (30) days unless a specific subscription model states otherwise.
5.3. In case of a Paid Service, the termination takes place at the end of the next billing period. You may terminate a Paid Service one thirty (30) days before the scheduled end date of the service.
5.4. The right to termination without notice for good cause shall remain unaffected. The termination must in any case be made in text form.
5.8. The contract of use must be terminated in text form. You may also have the option, if applicable, to terminate a contract entered into on the Website by clicking the appropriate button on the Website.

16.2. If the modification to the ToU (a) are exclusively for your benefit, (b) are of a purely administrative nature with no negative impact on you as the end user or (c) are directly prescribed by law neither an Objection in accordance with Section 16.1 nor a termination in accordance with Section 16.4 is possible.
16.4. Free Service. If you are using our free Services only, in the event of a modification to the ToU by us, you are entitled to terminate the ToU without observing a notice period and without incurring any costs. You may terminate your agreement within thirty (30) days of the date on which we informed you of the modification. Our agreement with you can be terminated by this termination at the earliest on the date on which the change to the agreement is to take effect. You may give notice of termination within thirty (30) days of the date on which we notified you of the unilateral amendment. Our contract with you can be terminated by this notice at the earliest on the date on which the contract amendment is to take effect.

Wire may discontinue services with timely notice
Wire reserves the right to discontinue some or all services at any time without giving reasons, but promises timely notice under Section 16. That section provides email or in-app notice of intended terms changes at least one month before they take effect. Section 5.5 also warns that services may be unavailable for reasons outside Wire's reasonable control, such as labor actions, infrastructure failure or blackouts.
Supporting quotations
5.5. We reserve the right to discontinue the operation of individual or all of our Services at any time without giving reasons. We will give timely notice of a discontinuation of our Services in accordance with Section 16. Additionally, the Service might not be available due to reasons outside our reasonable control, such as “force majeure” (eg. labor actions, infrastructural breakdowns or blackouts etc).
16.1. We may update and amend this ToU at any time by posting a revised version at [https://wire.com/en/legal](https://wire.com/en/legal) (“Updated ToU”). We will notify you of any intended changes to these ToU at least one month before they take effect by email or in-app notification. The revised version will become effective at the time stated.

Good-cause termination includes inactivity, serious breaches and required blocking
Wire may terminate extraordinarily for good cause. Listed grounds include a free account unused for at least 12 months, a culpable serious breach, criminal content, actions making Wire liable to third parties, and a legal obligation or official order to block an account. Ordinarily Wire first warns about misconduct and threatened termination. It may terminate immediately without warning for a serious violation that makes waiting through the notice period unreasonable.
Supporting quotations
5.6. We are entitled to extraordinary termination of this use agreement for good cause, in particular if
You do not use your free account for a period of at least twelve (12) months;
You culpably commit a serious breach of your obligations under these ToU;
You communicate content via our Services that constitutes a criminal offense;
You perform actions through which we are liable to third parties;
We are obliged to block your account due to a legal obligation or official order.
5.7. Before we issue an extraordinary termination notice, as a rule a warning notice has been issued in which we draw your attention to your misconduct and indicate the threat of termination. In case of serious violations immediate termination without prior warning notice is permissible. A serious violation is a violation where we cannot reasonably be expected to adhere to the contract until the expiry of a notice period.
Account & Service Control · Restriction or exception
Repeated or significant culpable violations can restrict service functions
Alongside its other rights, Wire may temporarily or permanently restrict individual features if you culpably violate laws, third-party rights or these terms on a permanent, repeated or significant basis. The clause permits targeted feature restrictions as well as the separate termination remedies.
Supporting quotations
5.9. Notwithstanding any other legal or contractual rights, we may temporarily or permanently restrict individual functions of the Services for you in the event that you culpably violate legal regulations, third party rights or our ToU on a permanent, multiple or significant basis.
Content & IP Rights · Permission or license
Your service license is limited, revocable and tied to payment

Supporting quotations
6.1. For the term of the agreement, we grant you a limited, non-transferable, and non-sublicensable right, revocable at any time, to use the Services within the scope of these ToU and only for the intended purposes of the Services in each case. The granting of rights to Paid Services is subject to the full and timely payment of the respective fee due.
6.2. A transfer of the rights to third parties is not permitted.
6.3. The Services may only be used for their intended purpose.

Product changes come with limits, notice and special exit rights
Wire may change digital products for user-experience, technical, capacity, functionality, security or legal reasons without charging for those changes. It promises clear notice of significant changes within a reasonable time. Section 7.3 also permits reasonable improvements or changes without notice and discretionary feature additions; that wording must be read alongside the significant-change notice promise. Subsequent app versions are promised only if agreed. If access or usability is affected more than insignificantly and no unchanged version is offered, Section 7.2 gives a statutory termination right within 30 days of the notice. Section 7.3 separately recognizes a special termination right when changes significantly impair your interests.

7.3. We may improve and/or change the Apps and our Services at any time and without notice, provided that such improvements and/or changes are reasonable to you. Furthermore, we may add features or functions to the Apps at any time at our own discretion. However, you are only entitled to the provision of subsequent versions of the Apps if we have agreed this with you. In the event that your interests are significantly impaired by these improvements and/or changes, you have a special right of termination.

App use remains tied to Wire's services and these terms
You may use the apps only in connection with the services provided through them and in accordance with these terms. The requirements and agreement may change as the services evolve, subject to the terms-update procedure in Section 16; this clause alone does not authorize ignoring that procedure.

Security & Safeguards · Restriction or exception
Connected independent apps must preserve server behavior and security
Independent apps generally follow the source-code license outside these terms. If you connect one to Wire's servers, additional rules apply: do not change how it connects or interacts with those servers, restrict its security features, store data for purposes outside the source code's intended original functionality, or harm Wire's apps, services or users.

7.5. If you wish to utilize and connect your Independent App to our servers, the following additional restrictions apply to any such Independent App:
You must not change the way the Independent App connects and interacts with our servers;
You must not restrict any of the security features of the Independent App;
You must not use our servers to store data for purposes other than the intended and original functionality of our source code underlying your Independent App;
Independent Apps must not harm the Apps, our Services or Wire users.

Wire promises basic suitability, not error-free compatibility everywhere
Wire says it developed services with usual care and without defects that substantially impair or prevent ordinary or contractual use. It limits its guarantee to intended use and basic functionality, explaining that technology cannot ensure error-free operation in every combination, compatibility with unknown third-party systems or protection against all third-party manipulation.
Supporting quotations
11.1. We ensure that the Services have been developed with the usual care and are free from defects that significantly impair or preclude their suitability for ordinary or contractual use.
11.2. According to the current state of technology, it is not possible to create software and hardware in such a way that it works error-free in all application combinations, works together with previously unknown third-party software and hardware and/or is protected against manipulation of any kind by third parties. We only guarantee that our Services are suitable for the intended use.
11.3. We do not assume any guarantee or warranty for the Services beyond the basic functionality of the Services.

No promise that Wire will achieve your business goals
Wire does not guarantee your business objectives or accept liability for the consequences of your business decisions. This sits within the agreement's broader liability framework: intent or gross negligence and listed protected cases remain unlimited, and applicable consumer laws may require more than the slight-negligence cap.

11.4. We do not guarantee the achievement of the business purposes pursued by you and are not liable for the consequences of your business decisions.
12.1. We shall be liable without limitation for damages in the event of intent or gross negligence.
12.2. In cases of slight negligence, our liability shall be limited to foreseeable, direct damages, and shall not exceed €500 (or the equivalent in local currency), unless otherwise required by applicable consumer protection laws.
12.3. In case of slight negligence, our liability is limited to the breach of material contractual obligations. Material contractual obligations are those obligations that make the proper performance of the agreement possible in the first place and on the fulfillment of which you may rely. In the event of a breach of material contractual obligations, our liability shall be limited to the foreseeable damage typical for the agreement.
12.4. Beyond this, we exclude any liability. This shall not apply only in the event of injury to life, body and health, fraudulent concealment of a defect or in the event of the assumption of a guarantee on our part or in the event of liability on our part in accordance with product liability law; in these cases, we shall be liable without limitation.

Slight-negligence liability has a €500 cap and important exceptions
For slight negligence, Wire limits liability to breach of material contractual obligations—those essential to proper performance and on which you may rely—and to foreseeable, direct damage typical of the agreement. Injury to life, body or health, fraudulent concealment of defects, assumed guarantees and product-liability cases also remain unlimited under Section 12.4. Outside-U.S. use selects Swiss law and Zurich, subject to dispute procedures
For use outside the United States, the terms select Swiss law without conflict-of-law provisions and exclusive jurisdiction in the City of Zurich, except as Section 15 provides. U.S. use selects U.S. and Delaware law
For use in the United States, the terms choose U.S. and Delaware law without choice-of-law or conflict rules that would apply another jurisdiction's law, and expressly exclude the UN Convention on Contracts for the International Sale of Goods. U.S. claims generally go to binding arbitration, with express exceptions
For U.S. use, claims relating to these terms generally go to binding arbitration with a final, binding decision. You can opt out by written notice within 30 days of first acceptance. Section 15.3 names AAA Consumer Arbitration Rules, but Section 15.7 separately uses JAMS fee rules; this card does not choose between them. AAA cost language conflicts with the later JAMS fee clause
The U.S. process provisions name AAA administration and say each party bears its own arbitration costs unless AAA rules require otherwise. Section 15.7 instead assigns JAMS filing fees to the initiating party, other fees under JAMS rules, and reasonable costs, attorney fees and expenses to the prevailing party in arbitration or court. These provisions pull in different directions on provider, cost rules and fee shifting; the terms supply no express priority rule resolving them.

Paid users can object within 30 days to keep prior terms
A paid subscriber who disagrees with an amendment must object in writing within 30 days of notice; the terms say an objector remains governed by the prior version. The next bullet says updated terms apply from the next renewal if you do not use ordinary termination or continue using the service. Ordinary paid cancellation requires writing at least 30 days before expiration. Section 16.2 excludes its objection right for exclusively beneficial changes, purely administrative changes without negative impact, or changes directly prescribed by law. Separately, renewal price increases require explicit acceptance under Section 4.3. The renewal/use bullet does not expressly explain how it interacts with an already submitted objection.
Supporting quotations
16.3. Paid Service.
If you subscribe for Paid Services and do not agree with the modification to the ToU, you must notify us in writing within thirty (30) days of the date on which we informed you about the intended modification (“Objection”). In the event of an Objection, you will continue to be governed by the ToU prior to modification.
The Updated ToU apply from the respective next renewal if you do not use your ordinary right of termination in accordance with Section 5.3 or continue to use our Service.

Performance information may be collected and shared, with permission controls
To improve performance, the service may access device usage information, including usage or transmission data and crash reports sent to third parties. The clause calls this information anonymized. You can permit monitoring and transmission to Wire's servers, including account information, to analyze device performance during use, and revoke permission at any time. It also promises device information will be anonymized and not personally identifiable and allows an in-app settings opt-out. The mention of account information is retained rather than silently treating the collected information as only anonymous technical statistics.
Supporting quotations

Using Wire does not establish an employment or agency relationship
You represent that the terms or service use create no joint venture, partnership, employment or agency relationship between Wire and you or your organization.

Wire can assign rights; your assignment right has exceptions
Wire may assign its rights under the terms to a person or legal entity without your consent. You normally need Wire's prior consent in text form to assign rights granted to you, but that restriction excludes your money-payment claims and claims where your protectable interest outweighs Wire's stated interest in assignability.
Supporting quotations
18.2. We may assign our rights under these ToU to a natural person or legal entity without your consent. The rights granted to you under these ToU may not be assigned without our prior consent in text form. This does not apply, however, to claims on your part which are directed towards the payment of money or to such claims where an interest of yours worthy of protection outweighs our interest in assignability.

Invalid provisions do not invalidate the rest
If an individual provision is invalid or unenforceable, the remaining terms retain their validity under this severability clause. It does not determine enforceability in a particular dispute.
Supporting quotations
18.3. Should individual provisions of the ToU be invalid or unenforceable, this shall not affect the validity of the remaining provisions.
Legal Rights & Agreement Rules · Context
Nonenforcement is not a continuing waiver
Wire's failure or inability to enforce a provision does not waive it now or later or prevent later enforcement. The clause also says an express waiver is not a waiver of your later obligation to 'enforce' the term. That unusual wording is preserved; it is not expanded into a newly defined enforcement duty.
Supporting quotations
18.4. Our failure or inability to enforce any provision of this ToU shall not be construed as a waiver of that provision now or in the future, nor shall it in any way affect our right to enforce that provision at a later date. An express waiver by us of any term, condition or requirement of this ToU shall not be construed as a waiver of your obligation to enforce such term, condition or requirement at any time thereafter.
Not stated here
The final sentence's reference to your obligation to enforce a term is not further explained.

Wire disclaims routine message review but may act on violations
Wire says it does not review, own or endorse messages between users and makes their originators responsible. It disclaims control and responsibility for users' communications and materials, with an exception for material originating from Wire. This is not a promise never to intervene: if it learns of content violating the terms, law or guidelines, Section 10.2 allows blocking, deletion or service restrictions with the stated notice safeguards.
Supporting quotations
10.1. We do not review, own or endorse the content of communications transmitted between users in messages. We have no control over and no responsibility for the communications or materials transmitted by any user through the Apps, the Website and/or the Services. It is the sole responsibility of the party from whom it originated and it may be protected by intellectual property rights, which are owned by third parties. We are not responsible for any communications or materials that you may access through your use of the Services, unless it originates from us.
10.2. If, however, we become aware of or are notified of content that violates our ToU, the law or our guidelines, we may block or delete the content and, without prejudice to our right of termination for good cause, refuse or discontinue the provision of our Service to you in whole or in part. In this case, we will notify you in advance of the reason and the nature and extent of such intended restrictions and give you the opportunity to comment. We will then inform you whether or not we will comply with the intended restrictions. Please note: This does not apply if and to the extent that we are prohibited by law from notifying you of the reason, the possibility of requesting a review, and, if applicable, the nature and duration of the restriction. This also does not apply if and to the extent that notification would be unreasonable, taking into account the interests of the parties involved.

Content enforcement usually includes advance notice and a chance to respond
If Wire becomes aware of violating content, it may block or delete it or refuse or discontinue service wholly or partly, alongside good-cause termination rights. It promises advance notice of the reason, nature and extent of intended restrictions, an opportunity to comment, and a follow-up decision. Those safeguards do not apply to the extent law prohibits the notice or review information, or notification would be unreasonable in light of the parties' interests.

Submitted-content license is for operation; AI content has broader stated uses
Wire does not claim ownership of material you submit through posting, uploading, editing or sharing features. You grant a worldwide, royalty-free, sublicensable, transferable, nonexclusive license to use and transmit it solely to provide and operate services. For AI input and output, Section 7.6 separately permits broader uses including development, improvement, legal compliance, enforcement and safety, and gives a model-training opt-out in account settings. The operational-purpose limit in Section 10.6 should not be read as the agreement's only statement about AI content use.
Supporting quotations
10.6. We do not claim ownership of any communications or materials submitted by you through the Apps, the Website and/or the Services, specifically through any feature on the Website, the Apps and/or the Services that allows you to post, upload, edit and/or share content ("Submitted Content"). To provide and operate our Services, you grant us a worldwide, royalty-free, sublicensable, transferable and non-exclusive license to use and transmit the Submitted Content. This is for the sole purpose of providing and operating the Services.
7.6. We may offer features that incorporate artificial intelligence (“AI”), like bots. To the extent permitted by law, you own or have the rights to any content your input into AI features (“Input”) and any content generated by the AI features (“Output”). Input and Output are collectively “Content”. You are responsible for your Input, the use of any Output and compliance with any applicable laws. You retain your ownership rights in Input and own the Output. We hereby assign to you all our right, title, and interest, if any, in and to Output to the extent permitted by law. Our assignment does not extend to other users’ output which may be similar due to the nature of AI. We can use the Content worldwide to provide, maintain, develop, and improve our Services, comply with applicable law, enforce our terms and policies and keep our Services safe. If you do not want us to use the Content to train our models, you have the option to opt out in your account settings. AI may occasionally generate Output that is inaccurate, irrelevant, offensive, harmful or similar to other people's content. It is your duty to use AI tools wisely and critically.

The terms state both the Submitted Content purpose limit and the AI-specific uses without an express priority clause resolving any overlap.
