Guardians supervise minors and legal limits constrain the disclaimer

Minors should review the terms with a guardian and use the service under guardian guidance. Z.ai says its protective measures cannot ensure control of minors’ use and disclaims responsibility for minors’ violations or harm from their actions or lack of supervision. The liability section preserves applicable local-law limits and additional rights. This does not itself establish an age-based eligibility rule.

Updates promise advance notice but also immediate effect on posting

Z.ai may update terms or services for legal, safety, outside-event, improvement or technology reasons. This section promises at least 30 days’ advance notice by website, email or other appropriate communication, yet the next sentence says changes take effect as soon as posted. The text does not reconcile those timing statements. To disagree, stop using the services immediately and request account closure in writing; continued use or account maintenance after notification is treated as acceptance.

b. Security or safety concerns,
c. Events beyond our reasonable control,

e. Adaptation to new technologies.
We will notify you of these changes by updating our website, sending an email, or using other appropriate communication methods with at least 30 days advance notice.

Service changes have differing notice formulations

Z.ai reserves the right to discontinue, suspend or modify services at any time and says it may give advance notice where reasonably practicable. Elsewhere it promises prompt notice for service changes that may affect rights and the general updates clause promises at least 30 days’ advance notice. These differing formulations do not establish one clear notice period for every discontinuation.

Supporting quotations

Service Discontinuation. We reserve the right to discontinue, suspend or modify the Services at any time, and may provide you with prior notice where reasonably practicable.
You have the right to use the Services provided by the Z.ai in accordance with the terms and conditions of these Terms and Platform Rules. As generative artificial intelligence technology, models, and products continue to evolve, along with changes in laws and regulations, we may add, upgrade, modify, suspend, or terminate services, or make necessary adjustments to the technology, method, and performance of the Services. If such changes may affect your rights, we will promptly notify you through in-site notifications, website announcements, or via email. If you continue to use the Services after the changes, it indicates your acceptance of the adjusted service content.
We will notify you of these changes by updating our website, sending an email, or using other appropriate communication methods with at least 30 days advance notice.

Cross-references

  • contrast (model-proposed): The general update clause promises 30 days’ advance notice — contrast: The discontinuation clause says advance notice may be given where reasonably practicable, while the general update clause promises at least 30 days. Legal Rights & Agreement Rules · Context

Remaining terms and unenforced rights can continue

If a provision is illegal, invalid or unenforceable in a jurisdiction, the remainder stays effective as far as possible. Delayed or omitted enforcement does not waive Z.ai’s rights against future or similar breaches; contractual remedies supplement its other legal rights.

Supporting quotations

No waiver of rights. If we delay or choose not to enforce any part of these Terms, it does not mean we waive our rights. We retain the right to act on any future or similar breaches. Our rights and remedies under these Terms are in addition to any other legal rights we have.

Legal Rights & Agreement Rules · Restriction or exception

A breach can expose you to extensive compensation claims

If your breach causes loss, Z.ai may seek compensation for reputation damage, lost business opportunities, litigation, arbitration and other legal expenses, investigation and appraisal costs, and compensation, penalties or fines paid to third parties, including administrative or criminal sanctions. These are stated contractual claims, not a determination that every listed loss is recoverable.

Regional rules and export approvals also apply

You must follow applicable local laws, regulations and policies. The terms prohibit resale, export or transfer of Z.ai products or products built using them to restricted people or countries. Singapore law is selected for the terms and related disputes

API rules prohibit interference and malicious code

For API users and end users, the appendix prohibits interference with platform components, modules or data, personally or through third-party software. API data processing refers to a separate addendum

For API services, Z.ai says it will collect and process provided data under the Data Processing Addendum for API Services. That addendum is not supplied in this agreement; its detailed processing terms cannot be inferred or applied to ordinary consumer chat.

Supporting quotations

The use of API services (“API Services”) by business and developers on Z.ai platform is also governed by these Additional Terms for API Services (“Additional Terms”). Terms that are not defined in these Additional Terms have the meanings given in the Terms. Content & IP Rights · Company commitment

API End User Content is defined without an ownership claim

The API appendix defines End User Content as inputs and outputs from API-based applications or services supplied or developed by the API user. Z.ai says it will not claim ownership of inputs or End User Content. Outputs may be similar to those generated for others, and responses requested by others are not your outputs; Z.ai reserves the right to generate them.

Supporting quotations

a. You and End User might provide Input and generate Output (collectively “End User Content “) through the applications or services you provided/developed by using our API Services. We won't claim ownership over your Input and End User Content.
d. Due to the nature of the Services and artificial intelligence generally, Outputs may not be unique, and other users may receive similar content from the Services. Responses that are requested by and generated for other users are not considered your Outputs. You acknowledge that we may generate the same or similar content for others and that we reserve all rights to do so.

Use & Processing · Company commitment

API content use is limited and improvement needs explicit agreement

For enterprise and developer API use, End User Content is used only as necessary to provide API services, comply with law, enforce policies and prevent abuse. The appendix’s bracketed sentence says service improvement or development requires explicit agreement, consistent with the general terms’ API exception. This protection is for API content, not the broader individual-user content permission.

Supporting quotations

The use of API services (“API Services”) by business and developers on Z.ai platform is also governed by these Additional Terms for API Services (“Additional Terms”). Terms that are not defined in these Additional Terms have the meanings given in the Terms. For business and developers’ use of API Services, in case any inconsistency exists between the Terms and Additional Terms, the Additional Terms shall prevail.
b. We will only use End User Content as necessary to provide you with the API Services, comply with applicable law, enforce our policies, and prevent abuse. [We will not use End User Content to develop or improve Services, unless you explicitly agree to such use.]
For enterprises and developers using API Services, we will not use your User Content for developing or improving Services unless you explicitly agree to such use. Please refer to Additional Terms for further details.

Except for express provisions, the API appendix grants Z.ai no intellectual-property rights in End User Content and grants API users no ownership of the services. API access is a limited use right. Permissions granted to Z.ai are only those reasonably necessary to deliver API services, and extend to subcontractors and subprocessors.

Supporting quotations

a. Except as expressly set forth herein, the Additional Terms does not grant: (a) us any IP Rights in End User Content; or (b) you any IP Rights in the Services. You only have a limited right to use the API Services, and no ownership rights are transferred to you or End Users under the Additional Terms.

The API survival clause has an unresolved numbered target

The API appendix says its Section 4 survives termination, but the supplied text has no numbered Section 4 heading or native heading-number metadata. It does not establish the target by number. If negotiation fails, disputes about the terms, including their existence, validity, interpretation, performance, breach or termination, are finally resolved by SIAC arbitration seated in Singapore under SIAC rules then in force. The appended API terms apply to businesses and developers
