Outside the EEA, UK and Switzerland, EA excludes indirect damages and caps recovery at what you paid for the service

If you live outside the EEA, the United Kingdom and Switzerland, then to the full extent permitted by applicable law EA and its employees, licensors and business partners are not liable for any losses not caused by EA's breach of the Agreement, or for indirect, incidental, consequential, punitive or special damages, with examples including financial loss (such as lost income or profits), cost of substitute goods or services, business interruption, loss of data, loss of goodwill, and computer failure. The limitation applies to any claim arising out of or related to the license or EA Service, whether in contract, tort, statute, strict liability or otherwise, and even if EA knew or should have known about the possibility of such damage. You may recover only direct damages, in an amount no greater than what you actually paid for the applicable EA Service. EA does not limit its liability for fraud, gross negligence, wilful misconduct, or death or personal injury, and some jurisdictions do not allow these exclusions, so some or all may not apply to you.

Supporting quotations

The arbitration agreement binds EA's affiliates, is governed by the Federal Arbitration Act and survives termination

Section 15 is an agreement between you and EA that also applies to the parties' agents, employees, subsidiaries, predecessors, successors, beneficiaries and assigns. The text states that the agreement to arbitrate evidences a transaction in interstate commerce, so the Federal Arbitration Act ("FAA") governs its interpretation and enforcement and any arbitration under it. Section 15 is to be interpreted broadly and survives termination of the Agreement.

This Section 15 is an agreement between you and EA, and applies to our respective agents, employees, subsidiaries, predecessors, successors, beneficiaries and assigns. This agreement to arbitrate evidences a transaction in interstate commerce, and thus the Federal Arbitration Act ("FAA") governs the interpretation and enforcement of this Section 15 and any arbitration carried out under this Section. This Section 15 shall be interpreted broadly and shall survive termination of this Agreement.

Qualifications & exceptions

  • The FAA is a named United States statute; its contents are not part of this document.

Legal Rights & Agreement Rules · Restriction or exception

All disputes with EA, including earlier claims and arbitrability itself, go to arbitration, with four exceptions

All disputes, claims or controversies arising out of or relating to the Agreement, any EA Service and its marketing, or the relationship between you and EA, including the validity, enforceability and scope of Section 15 itself ("Disputes"), are determined exclusively by binding arbitration, including claims that accrued before you entered into the Agreement. The only Disputes not covered are: (i) claims about the infringement, protection or validity of your, EA's or EA's licensors' trade secrets, copyrights, trademarks or patents; (ii) for Australian residents, claims to enforce a statutory consumer right under Australian consumer law; (iii) claims brought in small claims court; and (iv) any dispute about the Class Action Waiver, including whether it is enforceable.

A. Claims Covered by Arbitration

Qualifications & exceptions

  • Questions about the arbitration clause's own validity and scope are sent to the arbitrator, except disputes about the Class Action Waiver, which are carved out.
  • Section 15 as a whole does not apply to the residents excluded in its opening.

Legal Rights & Agreement Rules · Restriction or exception

Four claim types stay out of arbitration: IP, Australian consumer rights, small claims and Class Action Waiver disputes

Even for residents covered by Section 15, four categories of claims are not covered by the arbitration agreement: (i) claims regarding the infringement, protection or validity of your, EA's or EA's licensors' trade secrets, copyright, trademark or patent rights; (ii) if you reside in Australia, claims to enforce a statutory consumer right under Australian consumer law; (iii) claims brought in small claims court; and (iv) any disputes arising out of or relating to the Class Action Waiver, including any claim that it is unenforceable, unconscionable, illegal, void or voidable.

Related court claims are paused, with limitation periods tolled, until the arbitrable claims finish

To the extent the parties have related arbitrable and non-arbitrable disputes, the arbitrable disputes proceed first in arbitration and the non-arbitrable disputes are stayed, with any applicable statutes of limitations tolled, pending completion of the arbitration. Section 15(D) applies the same stay to public injunctive relief claims that a court must hear.

Before arbitration you must mail a signed Notice of Dispute to EA and negotiate for at least 60 days

You and EA must first try to resolve any Dispute informally before starting arbitration. Informal negotiations begin when one party receives a written Notice of Dispute from the other. You must mail an individualized Notice of Dispute to Electronic Arts Inc., 209 Redwood Shores Parkway, Redwood City CA 94065, Attention: Legal Department, containing (a) your name, telephone number, mailing address and the e-mail address associated with your EA Account (or your EA username); (b) a description of the nature and basis of the dispute, including the game(s) at issue; (c) the amount you are seeking from EA; and (d) your personal signature. If EA has a dispute with you, it sends a Notice of Dispute with the same information to the email address associated with your account. Both parties must participate in informal negotiations for at least 60 days after receiving the Notice unless they agree to an extension, and the party that sent the Notice may not file an arbitration demand before the 60-day period (or an agreed extension) ends.

Either side may elect binding AAA arbitration after informal talks fail; the demand must certify the informal steps

If you and EA cannot resolve a Dispute informally, either you or EA may elect to have it finally and exclusively resolved by binding arbitration, and one party's election is final and binding on the other. The party initiating arbitration must provide with its demand all the information required in the Notice of Dispute and a certification that it complied with the informal dispute resolution procedures. The arbitration is administered by the American Arbitration Association under its Consumer Arbitration Rules and, if applicable, its Mass Supplementary Arbitration Rules, available at adr.org or by telephone, with the modifications listed in Section 15(C).

The arbitrator must give a reasoned written decision and may grant relief only to the individual party

The arbitrator must make a written decision that includes the findings and conclusions it is based on. The arbitrator may issue any relief allowed by applicable law but has no authority to issue relief on any basis other than an individual basis, and may award declaratory or injunctive relief only in favor of the individual party seeking it and only to the extent necessary to provide relief warranted by that party's individual claim.

Qualifications & exceptions

  • Section 15(D) adds that public injunctive relief claims go to a court where governing law does not allow their waiver.

Legal Rights & Agreement Rules · User right or choice

The arbitrator must follow the law; either party may go to court to compel arbitration or enforce or vacate an award

The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so. You and EA may litigate in court to compel arbitration, to stay proceedings pending arbitration, or to confirm, modify, vacate or enter judgment on the arbitrator's award. Section 15(F) names the San Mateo County courts for those purposes.

Supporting quotations

The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so. You and EA may litigate in court to compel arbitration, to stay proceeding pending arbitration, or to confirm, modify, vacate or enter judgment on the award entered by the arbitrator.

Legal Rights & Agreement Rules · Restriction or exception

All disputes are arbitrated individually: no class, collective, coordinated, consolidated or representative actions

You and EA agree that all Disputes are resolved only in individual arbitration. Both parties waive the right to have any Dispute brought, heard, administered, resolved or arbitrated as a class, collective, coordinated, consolidated or representative action; no arbitrator or arbitration provider may hear or administer such an action or award relief to anyone but the individual in arbitration; and both parties waive the right to seek, recover or obtain any non-individual relief. Two exceptions follow in the same paragraph: participation in a classwide, collective or representative settlement remains allowed, and where governing law does not allow waiver of public injunctive relief claims, such a claim must be heard by a court. The Agreement's opening and Section 15's introduction also state the class waiver.

Supporting quotations

You and EA agree that any and all Disputes between the parties shall be resolved only in individual arbitration. The parties expressly waive the right to have any Dispute brought, heard, administered, resolved, or arbitrated as a class, collective, coordinated, consolidated, or representative action, and neither an arbitrator nor an arbitration provider shall have any authority to hear, arbitrate, or administer any class, collective, coordinated, consolidated, or representative action, or to award relief to anyone but the individual in arbitration. The parties also expressly waive the right to seek, recover, or obtain any non-individual relief.
Notwithstanding anything else in this Agreement, this Class Action Waiver does not prevent you or EA from participating in a classwide, collective, or representative settlement of claims. If governing law (after taking FAA preemption into account) does not allow the parties to waive claims for public injunctive relief, any claim for public injunctive relief must be heard by a court, not an arbitrator, but the parties’ non-arbitrable disputes shall be stayed pending arbitration, as stated in paragraph A.
D. Class Action Waiver
YOU ALSO AGREE TO WAIVE THE RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE OR REPRESENTATIVE ACTION.

Qualifications & exceptions

  • Disputes about the waiver's own enforceability are excluded from arbitration by Section 15(A) and go to court.
  • Section 15(E) allows grouped administration of 50 or more similar demands "notwithstanding any other provision", while still deciding each on an individual basis.

Not stated here

  • Which law counts as "governing law" for the public-injunctive-relief test depends on the Section 13(B) residence rules and FAA preemption; the text does not resolve it.

Legal Rights & Agreement Rules · Restriction or exception

The class waiver still allows class settlements, and public injunctive relief claims go to court where law requires

Notwithstanding anything else in the Agreement, the Class Action Waiver does not prevent you or EA from participating in a classwide, collective or representative settlement of claims. If governing law (after taking FAA preemption into account) does not allow the parties to waive claims for public injunctive relief, any such claim must be heard by a court rather than an arbitrator, while the parties' non-arbitrable disputes are stayed pending arbitration as stated in paragraph A of Section 15.

(h) no final award from an arbitrator in any one arbitration shall have preclusive effect in any other arbitration.

Qualifications & exceptions

  • The 120-day target is a best-efforts commitment, not a deadline with a stated consequence.

Legal Rights & Agreement Rules · Procedure

Both sides must cooperate on grouping, and demands already filed individually are folded into the grouped procedure

The parties agree to cooperate in good faith to implement the grouped approach to administering arbitration demands. If any similar demands were originally processed as individual arbitrations before the grouping procedure began, further proceedings, including the assessment of further filing or administration fees to either party, are governed by the procedures in paragraph E.

US residents arbitrate in their home county; others start in San Mateo County, with any in-person venue set later

If you live in the United States, arbitration takes place in the county where you reside. For residents outside the United States, arbitration is initiated in the County of San Mateo, California, so that an arbitrator familiar with California law can be appointed; if the arbitrator decides the proceedings will be in person rather than electronic or telephonic, the arbitrator selects a location reasonably convenient to both parties, considering their ability to travel and other circumstances. You and EA submit to the personal jurisdiction of the San Mateo County courts to compel arbitration, stay proceedings pending arbitration, or confirm, modify, vacate or enter judgment on the award.

If part of the arbitration agreement is unenforceable, the rest of it still applies

If any portion of the arbitration agreement is deemed unenforceable, the remainder of the agreement to arbitrate remains enforceable. Section 13(A) states the same rule for the Agreement as a whole, and Section 15(A) sends disputes about the Class Action Waiver's enforceability to court.
