These are Wire's consumer terms, updated June 2025

These terms identify Wire Swiss GmbH as the contracting company and govern consumers' use of its website, mobile, desktop and web apps, and the services and features offered through them. The page labels itself updated June 2025.

1.1. Our mission is collaboration without compromise for everyone. We hope you love our products and services — connecting, messaging and sharing files with ease, protected by the industry's most secure end-to-end encryption — as much as we love building them. These Terms of Use ("ToU") govern the legal relationship between us, Wire Swiss GmbH, and you when you use our services as a consumer. We refer to Wire Swiss GmbH collectively as “our Company,” “us,” or “we” throughout these ToU.
1.2. The subject matter of these ToU is the use of the Company's website ("Website"), the mobile software applications ("Mobile Apps"), the desktop applications ("Desktop Apps") and the web applications ("Web Apps") (Mobile Apps, Desktop Apps and Web Apps, collectively, "Apps"), which enable you to use the software and services we offer. Your access and use of the Apps, our Website and of the features, software, products and services provided by us through the Apps or the Website (individually and collectively, "Services") is subject to the terms and conditions in these ToU.

Legal Rights & Agreement Rules · Restriction or exception

Acting for an organization requires authority

If you use the services for an employer or other legal entity, you must have authority to bind it to an agreement under these terms. Without that authority, you may not use the services on its behalf and must immediately stop that use.

Wire promises basic suitability, not error-free compatibility everywhere

Wire says it developed services with usual care and without defects that substantially impair or prevent ordinary or contractual use. It limits its guarantee to intended use and basic functionality, explaining that technology cannot ensure error-free operation in every combination, compatibility with unknown third-party systems or protection against all third-party manipulation.

Supporting quotations

11.1. We ensure that the Services have been developed with the usual care and are free from defects that significantly impair or preclude their suitability for ordinary or contractual use.
11.2. According to the current state of technology, it is not possible to create software and hardware in such a way that it works error-free in all application combinations, works together with previously unknown third-party software and hardware and/or is protected against manipulation of any kind by third parties. We only guarantee that our Services are suitable for the intended use.
11.3. We do not assume any guarantee or warranty for the Services beyond the basic functionality of the Services.

Legal Rights & Agreement Rules · Restriction or exception

No promise that Wire will achieve your business goals

Wire does not guarantee your business objectives or accept liability for the consequences of your business decisions. This sits within the agreement's broader liability framework: intent or gross negligence and listed protected cases remain unlimited, and applicable consumer laws may require more than the slight-negligence cap.

Supporting quotations

11.4. We do not guarantee the achievement of the business purposes pursued by you and are not liable for the consequences of your business decisions.
12.1. We shall be liable without limitation for damages in the event of intent or gross negligence.
12.2. In cases of slight negligence, our liability shall be limited to foreseeable, direct damages, and shall not exceed €500 (or the equivalent in local currency), unless otherwise required by applicable consumer protection laws.
12.3. In case of slight negligence, our liability is limited to the breach of material contractual obligations. Material contractual obligations are those obligations that make the proper performance of the agreement possible in the first place and on the fulfillment of which you may rely. In the event of a breach of material contractual obligations, our liability shall be limited to the foreseeable damage typical for the agreement.
12.4. Beyond this, we exclude any liability. This shall not apply only in the event of injury to life, body and health, fraudulent concealment of a defect or in the event of the assumption of a guarantee on our part or in the event of liability on our part in accordance with product liability law; in these cases, we shall be liable without limitation.

Legal Rights & Agreement Rules · Restriction or exception

External disruptions can interrupt service

Despite system redundancies, service operation depends on factors outside Wire's control, including telephone networks, computer networks and the internet. Disruptions may temporarily impair or prevent use, and Wire disclaims responsibility for disruptions outside its sphere. The separate unlimited-liability provisions for intent, gross negligence and protected cases remain part of the agreement.

Supporting quotations

11.5. The operation and availability of our Services, as well as the public telephone network, computer networks and the Internet, may depend on numerous factors beyond our control, despite redundancies in the system. The use of our Services may be temporarily adversely affected or even impossible as a result of such disruptions. We are not responsible for disruptions outside our sphere of responsibility.
12.1. We shall be liable without limitation for damages in the event of intent or gross negligence.

Slight-negligence liability has a €500 cap and important exceptions

For slight negligence, Wire limits liability to breach of material contractual obligations—those essential to proper performance and on which you may rely—and to foreseeable, direct damage typical of the agreement. Section 12.2 caps it at €500 or local equivalent unless consumer-protection law requires otherwise. Intent or gross negligence remains unlimited. Injury to life, body or health, fraudulent concealment of defects, assumed guarantees and product-liability cases also remain unlimited under Section 12.4. Beyond the stated cases, Wire excludes liability.

Liability limits also extend to Wire's personnel

The exclusions and limitations apply to Wire's employees, workers, staff, representatives and vicarious agents. They are the same qualified framework, including the consumer-law qualification and unlimited-liability cases, rather than an independent blanket immunity for personnel.

Supporting quotations

12.5. The exclusion of liability or its limitation shall also apply with regard to the liability of our employees, workers, staff, representatives, and vicarious agents.

Notify Wire immediately in text form about compensable loss

For quick settlement, the terms place responsibility on you to notify Wire immediately in text form of damage or loss for which it is liable. This clause does not state a specific deadline in days or expressly say that late notice extinguishes the claim.

Supporting quotations

12.6. For the purpose of a quick settlement, it is your responsibility to notify us immediately in text form of any damage or loss for which we are liable.

Legal Rights & Agreement Rules · Restriction or exception

Your negligent breach can trigger defense and indemnity duties

You agree to indemnify, defend and hold Wire, its officers, employees and other agents harmless against claims, demands, damages and other losses, including reasonable legal fees, arising from your negligent breach of duty when using the apps, website or services. The stated trigger is a negligent breach, rather than every loss associated with use.

Supporting quotations

You agree to indemnify, defend and hold us and our officers, employees and other agents harmless from and against any and all claims, demands, damages or other losses, including, but not limited to, reasonable attorneys' fees, arising out of any negligent breach of duty by you in your use of the Apps, the Website and/or the Services.

Outside-U.S. use selects Swiss law and Zurich, subject to dispute procedures

For use outside the United States, the terms select Swiss law without conflict-of-law provisions and exclusive jurisdiction in the City of Zurich, except as Section 15 provides. That section separates non-U.S. procedures from U.S. arbitration and calls for trying an amicable written resolution before pursuing remedies under mandatory law or the terms. This choice-of-law clause is not the U.S. rule.

Supporting quotations

14.1. If you use the Services outside the United States, these ToU shall be governed by the laws of Switzerland, without regard to conflict-of-law provisions. The exclusive jurisdiction for disputes arising from these ToU shall be the City of Zurich, Switzerland, except as provided in Section 15.
14.3. Any dispute shall be resolved under Section 15 (Dispute Resolution; Arbitration Proceedings).
If you use the Services outside the United States, Section 15.1 or 15.2 applies to you. If you use the Services in the United States, Sections 15.3 through 15.8 apply to you. If you would like to submit a complaint about our Services to us, you can reach us by email: [legal@wire.com](mailto:legal@wire.com). In addition, you have recourse to the courts.
15.2. You agree that if a dispute or claim arises out of or relates to your use of the Apps, the Website or the Services, such dispute or claim will be resolved in accordance with the following escalation procedure:
You and we will try to reach an amicable, written solution to the matter;
if the parties are unable to resolve the dispute in accordance with Section 15.2 (a) above, you are free to pursue your respective remedies under applicable mandatory law or these ToU.

Legal Rights & Agreement Rules · Context

U.S. use selects U.S. and Delaware law

For use in the United States, the terms choose U.S. and Delaware law without choice-of-law or conflict rules that would apply another jurisdiction's law, and expressly exclude the UN Convention on Contracts for the International Sale of Goods. Dispute resolution is directed separately to Section 15; a law choice alone does not mean every dispute must be filed in Delaware.

Supporting quotations

14.2. If you use the Services in the United States, these ToU shall be governed by the laws of the United States and the State of Delaware, without giving effect to any choice-of-law or conflict-of-law rules that would require or permit the application of laws from another jurisdiction. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.
14.3. Any dispute shall be resolved under Section 15 (Dispute Resolution; Arbitration Proceedings).

Legal Rights & Agreement Rules · Procedure

Non-U.S. disputes start with an attempted written resolution

For use outside the U.S., Section 15 assigns the non-U.S. provisions. You can complain to legal@wire.com. The escalation process calls for an amicable written solution, then allows remedies under applicable mandatory law or the terms if that fails. EU residents may check for independent dispute bodies, but Wire says it is neither willing nor obliged to participate before a consumer arbitration board. The introduction's reference to courts must be read with the separate U.S. arbitration provisions.

Supporting quotations

If you use the Services outside the United States, Section 15.1 or 15.2 applies to you. If you use the Services in the United States, Sections 15.3 through 15.8 apply to you. If you would like to submit a complaint about our Services to us, you can reach us by email: [legal@wire.com](mailto:legal@wire.com). In addition, you have recourse to the courts.
15.1. If you live in the European Union, you may check whether an independent dispute resolution body exists in your country. We are neither willing nor obliged to participate in any dispute resolution proceedings (including online dispute resolution and alternative dispute resolution) before a consumer arbitration board.
15.2. You agree that if a dispute or claim arises out of or relates to your use of the Apps, the Website or the Services, such dispute or claim will be resolved in accordance with the following escalation procedure:
You and we will try to reach an amicable, written solution to the matter;
if the parties are unable to resolve the dispute in accordance with Section 15.2 (a) above, you are free to pursue your respective remedies under applicable mandatory law or these ToU.

U.S. claims generally go to binding arbitration, with express exceptions

For U.S. use, claims relating to these terms generally go to binding arbitration with a final, binding decision. You can opt out by written notice within 30 days of first acceptance. Section 15.6 expressly excepts small-claims cases, intellectual-property enforcement or protection, and injunctive relief. Section 15.3 names AAA Consumer Arbitration Rules, but Section 15.7 separately uses JAMS fee rules; this card does not choose between them. The source's reference to exceptions in 15.5 is retained as a numbering inconsistency because the explicit exceptions appear under 15.6.

15.3. Disputes Within the United States – Binding Arbitration. If you use the Services in the U.S., any dispute, controversy, or claim relating to these ToU ("Claim") shall be resolved through binding arbitration, except as provided in 15.5.
Arbitration shall be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, which are available at [www.adr.org](http://www.adr.org).
You have the right to opt out of arbitration by sending written notice to Wire Swiss within thirty (30) days of first accepting these ToU. If you opt out, you may bring claims in court as described in 15.6.
The arbitrator's decision shall be final and binding.
15.6. Exceptions to Arbitration.
Claims in small claims court (you may file in your home state).
Claims to enforce or protect intellectual property rights (e.g., trademarks, patents).
Claims for injunctive relief (e.g., stopping unlawful activity).
15.7. Costs. If you initiate arbitration proceedings for a claim, you are obligated to pay the fees to initiate JAMS arbitration proceedings. If we initiate arbitration of a claim, we are obligated to pay the fees to initiate JAMS arbitration. All other fees and costs of arbitration will be billed in accordance with the JAMS Rules. In addition, if either party commences an arbitration or court proceeding in connection with this ToU, the prevailing party in such proceeding shall be entitled to recover from the other party all reasonable costs, attorneys' fees and other expenses incurred.

U.S. arbitration is local unless the parties agree otherwise

The U.S. provisions place arbitration in your state of residence unless otherwise agreed. The process clause likewise specifies your home state and permits video, telephone or online proceedings if both parties agree.

Opt out within 30 days to use courts in your home state

You may opt out of arbitration by sending written notice to Wire Swiss within 30 days of first accepting these terms. After opt-out, Section 15.8 directs disputes to state and federal courts in your home state and records your consent to their jurisdiction. The opt-out bullet refers to court claims 'as described in 15.6'; that section lists exceptions, while 15.8 supplies the explicit opt-out court rule.

Supporting quotations

You have the right to opt out of arbitration by sending written notice to Wire Swiss within thirty (30) days of first accepting these ToU. If you opt out, you may bring claims in court as described in 15.6.
15.8. Arbitration Opt-Out & Severability.
If you opt out of arbitration, you agree that disputes shall be resolved in the state and federal courts in your home state, and you consent to their jurisdiction.

Not stated here

  • This clause does not specify a dedicated opt-out delivery address or required notice fields; no additional requirements are inferred.

Legal Rights & Agreement Rules · Restriction or exception

U.S. claims must be individual under the stated waiver

The U.S. dispute section requires both parties to bring claims individually, not in class, collective or representative proceedings. It also prohibits claims on behalf of the public or third parties. These are the terms' stated restrictions, not a conclusion that every restriction is legally enforceable.

Supporting quotations

15.5. Limitations on Arbitration & Class Actions.
No Class Actions: You and we agree to bring claims only in an individual capacity and not as part of a class action, collective action, or representative proceeding.
No Public/Third-Party Claims: No claim may be brought on behalf of the public or third parties.

Legal Rights & Agreement Rules · User right or choice

Small claims, IP protection and injunction claims are excepted

The U.S. section expressly lists exceptions to arbitration for small-claims court cases, including filing in your home state; claims to enforce or protect intellectual-property rights; and claims for injunctive relief, such as stopping unlawful activity. This list is labeled Section 15.6 even though the general arbitration clause points to 15.5 for exceptions.

Supporting quotations

15.6. Exceptions to Arbitration.
Claims in small claims court (you may file in your home state).
Claims to enforce or protect intellectual property rights (e.g., trademarks, patents).
Claims for injunctive relief (e.g., stopping unlawful activity).

Terms changes require at least a month's advance notice

Wire may post revised terms on its legal page. It promises email or in-app notice of intended changes at least one month before they take effect; the revision takes effect at the stated time, subject to the section's paid/free-user provisions and exceptions explained separately.

Supporting quotations

16.1. We may update and amend this ToU at any time by posting a revised version at [https://wire.com/en/legal](https://wire.com/en/legal) (“Updated ToU”). We will notify you of any intended changes to these ToU at least one month before they take effect by email or in-app notification. The revised version will become effective at the time stated.

Not stated here

Legal Rights & Agreement Rules · User right or choice

Paid users can object within 30 days to keep prior terms

A paid subscriber who disagrees with an amendment must object in writing within 30 days of notice; the terms say an objector remains governed by the prior version. The next bullet says updated terms apply from the next renewal if you do not use ordinary termination or continue using the service. Ordinary paid cancellation requires writing at least 30 days before expiration. Section 16.2 excludes its objection right for exclusively beneficial changes, purely administrative changes without negative impact, or changes directly prescribed by law. Separately, renewal price increases require explicit acceptance under Section 4.3. The renewal/use bullet does not expressly explain how it interacts with an already submitted objection.

Supporting quotations

16.2. If the modification to the ToU (a) are exclusively for your benefit, (b) are of a purely administrative nature with no negative impact on you as the end user or (c) are directly prescribed by law neither an Objection in accordance with Section 16.1 nor a termination in accordance with Section 16.4 is possible.
16.3. Paid Service.
If you subscribe for Paid Services and do not agree with the modification to the ToU, you must notify us in writing within thirty (30) days of the date on which we informed you about the intended modification (“Objection”). In the event of an Objection, you will continue to be governed by the ToU prior to modification.
The Updated ToU apply from the respective next renewal if you do not use your ordinary right of termination in accordance with Section 5.3 or continue to use our Service.
4.1. The use of the Apps is generally free of charge for you (freemium). Some of our Services are offered for a fee (collectively, “Paid Services”), which, for instance, facilitate conference calls, allow to share files or to run our products from your own server. You can book these in your user account or by reaching out to our sales team. Additional costs for Paid Services are incurred by the user account that subscribes the additional functions for the respective team. This section applies to any purchases of Paid Services. By using a Paid Service, you agree to pay the specified fees. All fees are inclusive of taxes, which we will charge as applicable. Our Paid Services automatically renew for the booking interval you select (such as annually or biennially), unless canceled in writing at least thirty (30) days before expiration. For the avoidance of doubt, this requirement supersedes the general termination right stated in Section 5. Subscriptions begin on your purchase date, and we will bill or charge you in the automatically renewing interval you select, on a pre-pay basis until you terminate.
4.3. Upon renewal, we may increase your fees for the subscription up to our then-current list price provided to you or published on our Website. If we increase your fees for the subscription, we will notify you at least thirty (30) days in advance of your renewal and the increased fees will apply at the start of the next renewal term. If you do not explicitly accept the new pricing, your subscription will not renew automatically.

Not stated here

  • Section 16.2 points to an Objection under 16.1, but the actual Objection definition is under 16.3. No rule extinguishing a timely objection merely through continued use is inferred.

Free-only users have a special amendment exit right

If you use only free services, you may give termination notice within 30 days of an amendment notice without costs or a notice period; termination takes effect no earlier than the amendment's effective date. This special right is unavailable for exclusively beneficial changes, purely administrative changes with no negative impact, or changes directly required by law. Wire promises legally required information about the form and content of termination rights in its amendment notice, and other termination rights remain unaffected.

16.4. Free Service. If you are using our free Services only, in the event of a modification to the ToU by us, you are entitled to terminate the ToU without observing a notice period and without incurring any costs. You may terminate your agreement within thirty (30) days of the date on which we informed you of the modification. Our agreement with you can be terminated by this termination at the earliest on the date on which the change to the agreement is to take effect. You may give notice of termination within thirty (30) days of the date on which we notified you of the unilateral amendment. Our contract with you can be terminated by this notice at the earliest on the date on which the contract amendment is to take effect.
16.5. We will inform you of the content and form of your right of termination in the notice of contract amendment as required by law. This section does not affect any other termination rights you or we may have.

Wire can assign rights; your assignment right has exceptions

Wire may assign its rights under the terms to a person or legal entity without your consent. The rights granted to you under these ToU may not be assigned without our prior consent in text form. Nonenforcement is not a continuing waiver

Wire's failure or inability to enforce a provision does not waive it now or later or prevent later enforcement. The clause directs claims arising from those license agreements exclusively to the relevant third-party provider, rather than Wire.
