New York law governs, with a separate federal arbitration-law provision

These are the document’s stated law choices; no external-law conclusions are supplied.

New York court language coexists with arbitration and small-claims language
Section 15 says Agreement disputes are resolved exclusively in New York state and federal courts. Section 22 instead directs disputes relating to services and the Terms to binding arbitration or small claims court. The source does not expressly reconcile these overlapping forum statements; this analysis preserves both rather than promising an unrestricted court action or inventing a priority rule.

The Terms replace prior agreements, with separately stated written-agreement rules
The Agreement says it replaces prior service agreements unless a separate written agreement with Teladoc states otherwise. It then says that if it conflicts with a signed written service agreement, these Terms control. This preserves both statements: the exception about replacing prior agreements does not itself promise that a conflicting signed term overrides these Terms.

Invalid clauses generally leave the rest intact under stated conditions
Remaining provisions survive an invalid, illegal or unenforceable clause only if essential terms remain valid, binding and enforceable and the transaction’s economic and legal substance is materially preserved. If any provision of this Agreement is determined to be invalid, illegal or unenforceable, the remaining provisions of the Agreement remain in full force, provided that the essential terms and conditions of this Agreement remain valid, binding and enforceable and the economic and legal substance of the transactions contemplated by the Agreement are materially preserved.
If this specific provision is found to be unenforceable, then the entirety of this arbitration provision shall be null and void.

The arbitration clause waives jury and class participation and survives termination
The clause uses a neutral arbitrator rather than a judge or jury, with more limited discovery and very limited court review. It says the Federal Arbitration Act governs interpretation and enforcement and that both parties waive jury trial and class-action participation. The arbitration provision survives termination of the Agreement and the relationship.
